Brad Wechsler

Brad Wechsler is the second officer of Elysium Management LLC, the family office of Leon D. Black. He is the man in that office who wrote to Jeffrey Epstein most often, and he is the man the office’s 2015 restructuring was about. This page records documents he wrote, the structure work he reported on, the legal question his own role raised, and what a bank recorded about him. No allegation against him was found in the material reviewed for this page and none is made here. Being an officer of Leon Black’s family office is not an allegation of anything, and neither is being screened by a bank. No telephone number, fax number, e-mail address, client reference, case reference, identity number or home address appearing in any document cited below is reproduced on this page. ⚠ Three classes of material are deliberately withheld and the reasons are given where they arise: characterisations of his competence written about him by a third party; one bank analyst’s description of a regulatory record, on sheets this desk has not been able to open; and a passing reference he makes to his own medical appointments, which has no bearing on anything here.

Brad Wechsler is the officer through whom Leon Black’s own money moved on paper. Where Richard Joslin kept the books, Ada Clapp drafted the instruments and Eileen Alexanderson typed the wires, Wechsler corresponded with Jeffrey Epstein about what the structure was for, and he was the one who traded. He sent Epstein charts of the entities, reported what the tax lawyers had agreed, asked which of them was writing which document, and in June 2015 wrote the single most quoted sentence in this cluster of pages.

The office itself, and what it did, is set out at Elysium Management LLC and is not re-derived here. This page is about the man, and about one week in June 2015 that the office’s own page does not carry to its end.

Identification, and the name forms

Three documents settle that the Elysium officer, the IMAX chairman and the “Bradley J Wechsler” of the bank’s due-diligence file are one person, with no inference from outside the release.

  1. His assistant’s signature block is a single printed line and is quotable as one: “Yvonne Berger | Executive Assistant to Mr. Wechsler | Elysium Management”, above the office’s address, beneath a message whose own footer is IMAX Corporation’s.1
  2. His message to Epstein of 7 November 2016 carries the IMAX Corporation footer and is signed by no other name.7
  3. Deutsche Bank’s wealth-management account plan of July 2016 gives the office’s key personnel as Leon Black, “Principal, Founder of Apollo”, and Brad Wechsler, “CEO, Chairman of IMAX”.6

The name forms were measured before anything here was written, and the middle-initial form is not a variant of the plain one.

A page keyed on the plain form alone would lose 108 documents, and the formal name is where the official instruments live. The 91 documents reached only by “Bradley J Wechsler” are the bank screening file, the public-records reports and the corporate officer lists. This is the shape this desk has now recorded for four subjects.

Every figure above is a floor. Damaged spellings of the surname were not enumerated by a vocabulary sweep for this page. That is recorded as unrun, not as zero.8

The bare surname, partitioned

The bare token Wechsler reaches 5,006 documents, 372 of them outside the union of named forms. All 372 were read at the text layer and classified, because a shared surname must be partitioned and never assumed.

Read against the whole surname set the contamination is 0.78%; read against the residue alone it is 10.5%.9

6 March 2015: the charts, and the partnership filing

The clearest single act on this page is a transmittal. Shortly after midnight on Friday 6 March 2015 Wechsler sent Epstein three documents and a plan. The message carries no sender block on the sheet it sits on; the attribution is the envelope chain on the preceding sheet, which reads “On Fri, Mar 6, 2015 at 12:39 AM, Brad Wechsler” over a barred address, and the message is signed “Best, Brad”.1113

“1. The corporate structure Phaidon, the trusts and the acquisition entities, all with attendant money movement. It should look hauntingly familiar. I still consider it a draft but I believe it is in pretty good shape.”11

“2. What Phaidon looks like now, after the insertion of Phaidon Global, Art Space and the Regan entities. We also show the money that was put into the various entities post the Phaidon acquisition (although the $3.2 million dollars that went in to 2013 to buy preferred shares is shown on the previous chart).”11

He then set out two next steps. The first proposes a call, “(These charts will be very hard to follow without a verbal walk-thru)”.11 The second is the sentence to stop at: “2. Independent of that we are investigating exactly where we have (and don’t have) paper and confirming that people with appropriate authority authorized corporate activities and fund transfers.”11

Epstein answered at 14:12 that afternoon by asking for more of the same: “why don’t you have your paralegal do the same ( charts ) for each and every entitiy, bjav, avionetaa. narrows. pent. each llc. , every house. friends ventures. etc. relate it to bank accounts . valuations. etc.”13

By the evening Wechsler had reported twice more. At 5:45 PM he passed on a timetable for a gift tax return and asked a question about Ronald Lauder: “PS: I’m told you and the lauder people are on the same page now on “friends partners”. Correct??”13 At 7:28 PM he confirmed what had been agreed: “Since there is an ein # I heard that you were likely Ok with the partnership filing which means each of leon and RL contributing $1.25mm to the pshp for use tax. Nothing shown on individual returns. You should close the loop with RJ when you have time. Envious of you in paris!”13

What this establishes and what it does not. It is a documented fact that Wechsler sent Epstein the corporate structure, the money movement and the governance of these entities, told him the office was checking whether authorised people had authorised the transfers, and reported the shape of a partnership filing to him before it was made. It does not establish that Epstein directed any of it, and nothing on these sheets is an instruction from him. The 5:45 PM message reports what Wechsler was told by a third person whose name is barred, and is his account of it. Whether the partnership filing was made in the terms described is not established by anything read for this page.

This is the exchange the sibling pages turn on, and this page carries it two days further than they do. The Paul, Weiss proposal and the chief legal officer’s answer that Epstein’s goals for tax reporting had not been shared with her are set out at Elysium Management LLC and at Ada Clapp and are not restated.14 What follows is the part that is about him.

His four points

At 2:02 PM on Tuesday 2 June he answered the office’s chief legal officer in four numbered lines, copying the chief financial officer, Jeffrey Epstein and outside counsel. Read whole rather than for its third line, it is a man agreeing to be demoted on paper and asking what he keeps.

“1. I assume leon owns 100% of elysium?”5

“2. Its ok to remove me as a member (managing director) of elysium but instead have leon delegate authority to me for managing, signing, etc. I’d leave my title or change it if u want to the more conventional “ceo” if that means anything.”5

“3. Critical point is that this comports with jeffrey’s desires/goals for tax reporting.”5

“4. If it doesn’t, can ldb just give me a poa without compliance or ria issues. Hasnt rowan’s and harris’ offices figured this out?”5

⚠⚠ WHAT THE THIRD LINE ESTABLISHES, STATED NARROWLY, BECAUSE IT INVITES MORE THAN IT CARRIES. It is a documented fact that he wrote that sentence, that Epstein was in the copy line, and that the office’s own chief legal officer replied the same day that Epstein’s goals for tax reporting had not been shared with her. The sheet does not establish who he was speaking for when he wrote it, what authority he had to say it, whether Epstein had ever told anybody what those goals were, or whether the restructuring happened. No executed instrument is in the material reviewed for this page.

The second line is the origin of a title. He offers in June 2015 to be called “ceo”; his lawyer adopts the word the same evening; and thirteen months later Deutsche Bank’s account plan for the office records him as “CEO”.36 The fourth line measures his arrangement against two others, “rowan’s and harris’ offices”, the family offices of Apollo’s two other founders. No document read for this page says what those offices did.

What it was all for

At 6:25 PM the same evening the chief legal officer wrote to Epstein and named the thing being solved: “Brad and I have spoken a bit more about the discretionary trading. There seems to be two approaches. In both cases, Brad would no longer be a Managing Director of Elysium but would become an officer (CEO):”3

Both approaches were built round the same statutory exception: “The family office exception should apply with either approach because the investing entity is controlled by LDB (either directly or as the managing director of Elysium) and is managing only family member money.”3 Both also answered his employer: “Apollo’s personal trading restrictions can be satisfied by having the CEO of Elysium, or the Manager of Investco provide Apollo quarterly certification it requested.”3 She closed by asking Epstein which he preferred.

This is the fact the office’s own page cannot state and this one can: the restructuring was about Brad Wechsler’s capacity to trade Leon Black’s money, and both proposed structures existed so that the man doing the trading would not have to register.

Epstein answers, and the office does not do it

At 7:18 PM Epstein replied to the chief legal officer, Wechsler and Melanie Spinella, in one line: “i think brad should trade under a poa limited to trading leons personal account .. and get it done”3

At 9:18 the next morning the chief legal officer put the objection to him directly: “If we have Leon open the accounts and give Brad a power of attorney we risk Brad having to register as an investment advisor. An alternative closer to this arrangement that would take advantage of the family office exception is for Leon to open the trading accounts and then enter into an investment advisory agreement with Elysium. Brad as CEO of Elysium could handle investments.”4 She ended: “Do you agree with this approach?”4

At 9:33 Wechsler wrote to her: “Ada-can we discuss…want to find simple fast path. Let’s talk in person.”15

At 9:37 Epstein answered her question in one word: “no”4

At 14:20:06 UTC she wrote again to Epstein and Wechsler together, and did not move: “Paul, Weiss has advised that Brad may be deemed to be an investment advisor, requiring registration, if he manages Leon’s funds for compensation, unless the arrangement falls within an exception.”4 On Epstein’s preferred route she set out two objections: “While, under the arrangement Jeffrey suggests, Brad will not receive any compensation specifically under the power of attorney, there is a concern that part of Brad’s compensation from Elysium might be imputed to his efforts under the power of attorney. If that were to occur, the RIA rules would apply, and there would be no exception.”4 And: “Further, if Leon has the power to revoke the power of attorney at any time, without notice, it is not clear that we fall outside the Apollo trading policy.”4 She closed by restating her own solution and asking “Please let me know how you wish to proceed.”4

⚠⚠ WHAT THIS SEQUENCE DOES AND DOES NOT SHOW, AND IT BEARS ON A FINDING PUBLISHED ELSEWHERE ON THIS WIKI. Elysium Management LLC records that no document read for that page carries an instruction from Epstein to that office. These sheets were not among the ones read there, and they do carry an Epstein direction in imperative form, “and get it done”, followed by a flat “no” to the lawyer’s alternative. What they equally show is that the office did not simply do it: the chief legal officer put the registration risk in writing twice inside twenty hours, refused to drop her own solution, and asked him how he wished to proceed. ⚠ No document read for this page records what was decided, and no executed power of attorney, investment advisory agreement or amended LLC agreement is in the material reviewed here. A direction that meets written resistance and leaves no executed instrument is not a chain of command, and this page does not turn it into one.

2016: the 8865 work, and who was writing what

Through the second half of 2016 Wechsler is the officer coordinating a tax filing exercise around Black and Paul, Weiss.

On Friday 26 August 2016 an assistant asked whether he could join a conference call “today with Jeffrey, Brad Karp and Pat Fenn at !lam?” and he answered “Yes, fine…”.16 That call is already recorded at Brad Karp, where it was Karp who asked for Wechsler to be added, and it is not re-derived here.17

On the night of Monday 7 November 2016 he wrote to Epstein directly, three sentences, from an IMAX address: “I got a download from jc and rj on the 8865 call earlier today and there’s an issue I’d like to discuss with you. Also, are you interacting with brad karp on the “reasonable cause” cover note or do you want me to? Finally, is PW writing for all three guys?”7

Form 8865 is the United States return for persons with interests in certain foreign partnerships, and a “reasonable cause” statement is what a filer attaches to ask that a penalty for late or missing filing be abated. That is the ordinary meaning of the two terms; no document read for this page defines them, which is why the sentence is quoted and not paraphrased. “rj” is Richard Joslin, on the initials this office uses throughout; “jc” and “all three guys” are not resolved by anything read here and no expansion is offered for either.7

What it shows about his position is the shape of the question. He does not ask Epstein for permission. He asks which of the two of them is dealing with Black’s outside counsel, and whether that firm is acting for three people rather than one. A man asking who will handle a document is a man who could handle it himself.

2018: what Deutsche Bank’s file says about him

In July 2018 Deutsche Bank was still trying to clear a know-your-customer case on Leon Black, and Wechsler was one of the people it screened.

On 6 July 2018 the bank’s private-wealth research unit completed a due-diligence report headed “NAME SEARCHED: Bradley J Wechsler”, prepared by a named research analyst.18 Its summary sheet records “No RDC Alert”, “No FIRCOSOFT Alert”, Negative Media: “No Information Found”, and results found under two further headings.18 The screening sheet behind it records “No Match Found” against the Office of Foreign Assets Control list and four columns reading “No Alert”, under a LexisNexis footer dated 7/6/2018 and the line “Report processed by: DEUTSCHE BANK AG”.19

Five days later a know-your-customer case representative in the bank’s Mumbai office wrote to a colleague, copying Stewart Oldfield, attaching refreshed research on Wechsler and on two Apollo entities. His opening line places the whole exercise: “This relates to KYC Case#… which is in rejected status for high risk account – Leon D. Black with GCIS#… under the ELYSIUM MANAGEMENT RELATIONSHIP.”20 Two internal bank reference numbers are omitted from that quotation at the ellipses and are not reproduced anywhere on this page. He closed by saying the feedback he wanted “will allow me to discount the negative media which is the only pending item on this case, at the moment (other than the pending AML approval)”.20

⚠⚠ One item in that message is withheld, and the bases are given in full because a half-hedge is worse than either course. Under the heading bearing Wechsler’s name the analyst asks the business to help him discount something he says the research report raises at its pages 31 and 32, and describes it in one sentence.20 That sentence is not reproduced here. The bases: it is one bank employee’s characterisation of a regulatory record concerning a living private individual; pages 31 and 32 of that report are not among the sheets of it in the release, so this desk has not read the underlying record and cannot say what it is or whether it concerns him personally rather than a company; the same report’s own Negative Media field, on the sheets that are produced, reads “No Information Found”; and the analyst’s own question is whether the item can be discounted.182021 A description of a record is not the record.

The research report is a mixed run in the sense this desk means it. Its produced sheets include public-records pages carrying fields for a social security number, a date of birth, a home telephone number and residential addresses. None of those values is reproduced here, and none of those sheets is cited on this page for anything.21

What others wrote about him

Two entries, both acts by other people, both stripped of the characterisations that came with them.

On 12 January 2017 Epstein wrote Leon Black a numbered list of steps headed “lets begin, preparation .- taking steps.” Its fifth item concerns the office. In it Epstein wrote that “wechsler should transition OUT”, and then asked, of a third person’s own organisation, “would she take wechsler?”22The remarks about his capability in the same two sentences are withheld. They are one man’s account of a living private individual, nothing else read for this page corroborates them, and the act recorded, which is Epstein recommending to Black that his family office’s second officer be moved out, does not depend on them. Nothing read here records whether that happened. He is still being screened as a related party of the same bank relationship eighteen months later, and Richard Joslin’s last dated message in the release, of 7 June 2018, is addressed to him.2023

On 1 August 2016 Epstein conveyed Black’s choice of successor to the general-partner interest in Black Family Partners to Wechsler and to the office’s chief legal officer. That message is quoted and cited on the partnership’s own page and is not re-derived here.24

What this page does not establish

These absences are scoped to the material reviewed for this page and to the searches named at 29. They are not claims about the release, and the searches they rest on returned documents that were opened and read rather than counted.

  • What his agreement with the office was. No employment agreement, engagement letter, operating agreement, executed power of attorney, investment advisory agreement or board minute naming him was found. The two documents in the release that pair his name with the phrase “employment agreement” are one Apollo instrument printed twice, and the phrase there describes somebody else.29
  • How the June 2015 question was resolved. The two approaches, Epstein’s preference, the lawyer’s objection and his refusal are all on the sheets. No executed instrument of any kind answering them is in the material reviewed for this page, and the office’s own page records the same absence for the restructuring.
  • What he was paid, and by whom. No payroll record, invoice, wire instruction or tax form naming him as a payee was found. His compensation from the office is referred to in the abstract by his own lawyer and is never quantified on any sheet read here.
  • What happened after January 2017. Whether Epstein’s recommendation that he leave the office was acted on is not recorded on anything read here.
  • Anything about IMAX Corporation. His chairmanship is recorded here only because two documents in this release use it to identify him. No IMAX corporate record, filing or governance document was read for this page, and nothing here bears on that company.
  • The item at pages 31 and 32 of the 2018 research report. Those sheets are not in the release and the desk has not read them.
