Ada Clapp
⚠ what this page is about, and what it is not
Ada Clapp is the lawyer who handled Leon D. Black’s trusts and estate plan, first as an outside wealth strategist at U.S. Trust, then from inside the Black family’s own vehicles, and finally as chief legal officer of Elysium Management LLC. This page records documents she wrote and instruments she sent, and one thing Jeffrey Epstein wrote about her position that bears on who controlled that office. She appears nowhere in the litigation or investigative record reviewed for this page, and no allegation against her is made here. Her telephone, fax and e-mail values are barred on the sheets cited and are not reproduced, and neither are any bank account identifiers or the home addresses of the trust beneficiaries she wrote to. Characterisations of her competence made by a third party in the same documents are withheld: they are one man’s account of a living private individual, and the acts recorded below do not depend on them.

Ada Clapp is a lawyer who spent the years from 2012 to 2017 rebuilding the trust and estate structure of Leon D. Black, the chairman and chief executive of Apollo Global Management, during the same years in which Black paid Jeffrey Epstein for advice on that structure. She wrote the statutory notices that moved trust principal from one instrument to another, she drafted and negotiated the agreements that governed how the family’s entities were owned, and she argued with outside counsel about what the Internal Revenue Service would accept. She is not a transmittal clerk and her file is not other people writing about her. Of the 2,279 documents in the release that carry her full name, 926 put her at the head of the sender field on the document’s own first sheet, and the writing in them is her own composed prose, not a system-generated form.10
What lifts this page above a competent lawyer’s correspondence is a single sentence she wrote to Epstein on 26 March 2013, and two sentences Epstein wrote about her afterwards.
Identification, and the name forms
Her own signature blocks give the identification three times, in three different institutional homes, and the three are the spine of this page.
On 13 and 14 December 2012 she signed an argument with a McDermott Will & Emery partner over the Black children’s gift tax exemptions as “Ada Clapp / Managing Director, Wealth Strategist / U.S. Trust Bank of America Private Wealth Management”, above a West 47th Street address, with the telephone, fax and e-mail lines beneath it empty on the sheet.2 On 26 March 2013, writing to Epstein, the block reads “Ada Clapp / Black Family Partners / c/o Apollo Management / 9 W 57th Street / New York NY 10019”, with the telephone and e-mail lines covered by bars.3 By 30 October 2014 it reads “Ada Clapp / Chief Legal Officer / Elysium Management LLC / 445 Park Avenue / Suite 1401”, with the direct dial line covered by a bar.4 These are stacked field sets and they are described here rather than quoted as running text, because this desk has fabricated a quotation by stitching one before. No document read for this page records either move taking place; what the record gives is three dated states.
The name forms, measured
The bare surname is barely broader than the full name and it is not a ceiling. "Ada Clapp" reaches
2,279 documents and Clapp alone 2,357, a difference of only 78. Of those 78, 23 are not
her: a Juilliard violin teacher, a Polar Capital fund manager, an actor, a pair of unrelated
homeowners, two Florida appellate citations rendered CLApp, and six sheets of unreadable OCR. The
remaining 55 are hers under a damaged or inverted form, chiefly Ma Clapp, where the extraction
welds the Ad of her forename into a single glyph, and Clapp, Ada, the corporate directory form.
The productive finding is that she is reachable by forename alone and that no query on her surname
can see those documents. "Eileen Ada Rich" reaches 133 documents, 125 of them outside every
Clapp query: these are Epstein office day sheets and calendar reminders that list her with
Eileen Alexanderson and Richard Joslin by
forename only. "From Ada" adds 33 more and "Ada Clap", the truncated surname, 16. The
union of all four forms is 2,526 documents; subtracting the 23 that are other people and one
message from an unrelated Ada gives a floor of 2,502, with one 2011 sheet left uncertain.
This is a floor and not a total: no convergence is claimed, and the measurement scope is the
extracted text layer of the release.9
⚠ A method correction this pass owes the desk. The first version of the disjoint measurement
wrote the column filter as text_content : (A OR B OR C) NOT D and returned 179 documents outside
the surname set. Rebuilt as explicit Python set differences, the true figure is 169. The column
filter does not scope the whole expression, and the error inflated every component. The figures
above are the reconciled ones.
The outside adviser, 2012
The earliest sustained work in the file is an argument she lost, or at least did not win outright, and it shows her judgement rather than her diligence.
In December 2012 the Black children were being asked to use their gift and generation-skipping transfer tax exemptions before the year ended. Elyse G. Kirschner, a partner at McDermott Will & Emery, had proposed that the four children create an LLC, give it promissory notes of $5 million each for a quarter interest, and transfer those interests to new 2012 trusts. Clapp wrote to her on Thursday, 13 December 2012 with “a few questions about this proposal and one big concern”, and the concern was that two of the four children had nothing to pay a note with.2
“It is my understanding that only one or possibly two of the children have any real entitlement to assets at this point” (p. 3)
She set out what she thought the Service would do with it, and she named the case: “Or are you suggesting a formula gift to be followed by an appraisal later (in which case, are you not concerned about the Service’s non-acquiescence in Wandry?)”. (p. 3)2
Kirschner replied the next morning agreeing that if the children lacked their own assets, the better course was to distribute out of the non-exempt trusts and have the children re-gift.2 Clapp’s summary of where that left them went to Alexanderson, who forwarded the chain to Epstein at 1:21 PM on 14 December 2012 over the line “Are you good with this as a plan?”, and Epstein forwarded it on to Black’s assistant eight minutes later. ”I will wait for your green light”
On Tuesday, 26 March 2013 at 21:04:20 +0000 she sent Epstein a tracked-changes draft of a Release
and Indemnification Agreement for Leon Black, copying Alexanderson. The attachment is named on the
sheet as Clapp_comments-_Leon_Black_Release_Agreement_(New)-_41510967v2_.doc, and the body is four
sentences long.3
“Nice speaking with you earlier. Attached is a new track changes version of the Release & Indemnification Agreement. I believe I have removed the proposed revisions you objected to, but if not, please let me know. I will wait for your green light to forward the attached t▮” (p. 1)
The bar at the end of that sentence covers the name of the person the draft was to go to.3 The message is a documented fact about the architecture of this office and it needs no gloss: Leon Black’s lawyer removed from a legal agreement for Black the revisions to which Jeffrey Epstein objected, and then waited for Epstein’s permission before sending it anywhere. Epstein held no office in the Black family, was not a trustee, and was not a lawyer.
⚠ The extraction of this sheet is damaged in both of the ways this desk has catalogued. It renders “revisions you objected to” as “revisicisou objected to”, and it drops the terminal redaction bar and closes the gap, so the text layer reads “forward the attached t” and gives the reader no sign that anything was covered. Both were settled at the image.3
The decanting notices, February 2014
The largest single act recorded in her own name is a set of six letters sent on 26 February 2014 on
Elysium Management LLC letterhead, each VIA CERTIFIED MAIL / RETURN RECEIPT REQUESTED, to Leon D.
Black, Debra R. Black and the four Black children.1 The letter to Black states what the
trustees had done and why he was being told:
“This is to let you know that the Independent Trustees (i) created a new trust under a Declaration of Trust dated February 20, 2014 (the “APO2 Declaration”) and (ii) exercised their power to invade the principal of the Non-GST Exempt Trust and, in accordance with New York law, appointed all of such principal to themselves as Trustees under the APO2 Declaration (a “decanting”).” (p. 7)1
“New York law requires that you receive notice of the decanting by Certified Mail. Accordingly, on behalf of the Independent Trustees, enclosed are the following documents” (p. 7)1
The independent trustees are named on the sheet as Richard Ressler, John Hannan and Barry Cohen, and the enclosures are listed as a notice of appointment, an instrument of appointment under New York Estates Powers and Trusts Law §10-6.6, the 1997 trust agreement and instrument of division, and the APO2 declaration.1 The second sheet closes: “The decanting will be effective 30 days after the date of this letter. Should you have any questions, please do not hesitate to call me.” (p. 8)1
⚠ She is not recorded as having signed it. The subscription reads “Very truly yours,” and the region where a signature would sit is covered by a solid bar, with her typed name printed beneath it and partly under the bar’s lower edge.1 A name, a title and a date are each compatible with nobody having signed, and no other copy of this letter was found for this page. The letter is described here as sent over her typed name, which is what the sheet supports.
⚠ And a second correction the extraction invited. The text layer of the Debra Black letter
renders that barred signature region as SAda I M Clapp, which reads as a middle initial. It is
not: "Ada M Clapp" returns 0 documents, the string is noise off the bar’s edge, and the image
shows no middle initial anywhere on the run.1
The overview, April 2014
On Wednesday, 30 April 2014 at 4:13:10 PM she sent Epstein, copying Alexanderson, a report on the draft Estate Planning Overview she had prepared for Leon and Debra Black. It is the clearest single document in the file for what her work actually was, and for who signed off on it.12
She explains that the draft values everything except the grantor retained annuity trusts as of 16 April 2014 and models the GRATs “as if Leon survived each of the terms, received back all his annuity payments and paid a remainder to the Heritage Trust based on income and appreciation projections Eileen provided.” (p. 1)12
“This is a “quick and dirty” way of showing how the assets would pass if the GRATs are successful. It is not “technically accurate” from an estate tax standpoint.” (p. 1)12
She had taken the approach to “Alan”, and reports that a fuller answer would mean engaging Paul Weiss’s fiduciary accountant to test each GRAT against the April §7520 rate and to project the remainders.12 The closing paragraph is the one that records the decision structure:
“However, I wanted to confirm with you that you and Leon would benefit from the more detailed analysis before engaging Paul Weiss to prepare it. I ask because, as you may recall, Leon’s only comment when I gave him the last Overview was “What did this cost me?"" (p. 1)12

The valuation, August 2014
On Thursday, 14 August 2014 she asked Joslin, then Elysium’s chief financial officer, who was
reviewing the engagement letter for the valuation of an entity carrying Black’s initials, and
whether the valuer had gone ahead without one.13 Joslin answered at length and took the
question as an accusation. Her reply, timed Thu, 14 Aug 2014 13:38:33 +0000 on the sheet, is two
short paragraphs:
“Rich—you are misreading my email. I was not inferring anything—just trying to understand the status of the LLC valuation to complete the restructuring.” (p. 1)13
“I did not speak with Scott. He left me a voicemail. As you know, I already told him that you were responsible for valuations which is why I have not returned his call.” (p. 1)13
That second sentence is given whole here. A shorter form of it drops her reason for not returning the valuer’s call, which is the only part of it that says anything about how the office divided responsibility. Joslin’s side of the same exchange is set out on Richard Joslin’s page.13
⚠ Two clock conventions sit on this one sheet. Her own message carries an explicit +0000 and
is a zoned value. The two messages quoted beneath it are stamped “Thursday, August 14, 2014 9:25 AM”
and “8:50 AM” with no zone at all. The order of the three is established by the thread’s own
structure, quoted material being earlier; no interval across the two conventions is asserted
here.13
Non-disclosure agreements for the photocopiers, October 2014
On Thursday, 30 October 2014 at 11:40 AM she answered a request from Joslin about engaging per diem staff, in one sentence, over the Elysium chief legal officer block:
“Please provide the nam=s of the individuals and a description of their engagement and we will pre=are them for you.” (p. 1)4
The = characters are printed on the sheet, not introduced by the extraction; the message
carries quoted-printable damage that survived into the production, and the same sheet prints
“=hotocopy”, “e=forts”, “nda=” and “th=”.4 Epstein replied at 12:21 PM: “in what role .? careful. nda= are useless in real life with the wrong person.” (p. 1)4 Joslin then explained that the role was “clerical/ staffing agency to =hotocopy Raiche records” and that if a non-disclosure agreement was not useful he would “make other e=forts to secure/ protect info.” (p. 1)4 Epstein closed the thread at 5:02 PM: “take a para from paul weiss. dn’t worry about th= money” (p. 1)4
What Epstein wrote about her position
Two sentences in the release record Epstein telling Black what should happen to her job. Both were read at the image; the characterisations of her work that surround them in the same documents are withheld here, for the reason given at the head of this page.
The first is in a message Epstein wrote on 17 February 2014 and later quoted back to Black under the
heading ONE YEAR AGO. Its subject is who should run the family office. After proposing that
Lawrence Delson be put in charge and that his own team do the complex work, Epstein wrote: “Ada should be only a trust, grat administrator.” (p. 3)14 That is three weeks before her six decanting
notices went out over her own name.
The second is in a message of Friday, 20 November 2015 at 10:50 AM, subject “agenda”, sent to Black’s executive assistant and addressed to Black in the second person throughout: “I have made my views re ada and the office clear . no hedging. . THEY should go. no hesitation .” (p. 6)14
No document read for this page records Black acting on either. The opposite is on the record: her sender rows continue through 2016 and her latest dated message in the release is of 17 April 2017, seventeen months after the second sentence was written, to Epstein’s own lawyer Darren Indyke, copying Epstein, Brad Wechsler, Richard Kahn and a colleague, about a loan and guaranty: “Email received. Wire will be confirmed by someone in our accounting group (probably Joe). Please send me the original signature pages when you have them.” (p. 1)6
What this page does not establish
- When she moved between institutions. The file gives three dated signature blocks, at U.S. Trust in December 2012, at Black Family Partners in March 2013 and at Elysium Management LLC by February 2014. No document read for this page records a hire, a resignation or a start date, and the claim here is scoped to the sheets cited.
- Whether she signed the decanting notices. The signature region is barred on the only copy read.
- What happened after April 2017. Her sender rows stop there in the released metadata. That is a statement about this release, not about her employment.
- What was in the Release and Indemnification Agreement. The attachment named on the sheet is not in the release as a separate document, and no draft of it was read for this page.
- Who the barred recipient of that draft was. The bar is on the sheet and nothing is recovered from any other copy here.
- The litigation record.
Clappwithdeposition, withsubpoenaand withDechertwas run and returned nothing relevant in the material reviewed for this page.11 That is a claim about three searches, not about the release. - Meetings. The Epstein office day sheets list her at appointments with Alexanderson and Joslin on 24 April 2014, 13 March 2014, 6 November 2013 and others. ⚠ Every one of those sheets was written before the day it describes. A diary entry is evidence of an arrangement, not of attendance, and no document read for this page records any of those meetings taking place.
