Thomas World Air, LLC was a Virgin Islands limited liability company of which Jeffrey Epstein was the sole member. It held the hangar bay his aircraft used at Cyril E. King Airport on St. Thomas. This page is about the company itself: how it was formed, who signed for it, what it told the government it was, where its money came from and what became of it.
It is not about the airport. The lease, the Virgin Islands Port Authority’s Governing Board decisions of July and August 2011, the applications that preceded them, possession of the bay, the badge and gate correspondence of 2017 and what the released files do and do not show about aircraft registered to the company are all set out at Cyril E. King Airport and the Virgin Islands Port Authority, and are not repeated here. In summary: the company applied for hangar space at the airport from January 2010, the Port Authority’s board approved a lease of the 3,600 square foot middle bay of the General Aviation Hangar in July 2011 and of land for a fuel truck in August 2011, the company took possession on September 1, 2011, and it described itself in 2017 as lessee under a Hangar Facility Lease Agreement with the Authority dated June 19, 2012.
Formation
The instrument that brought the company into existence is a set of First Amended Articles of Organization of Thomas World Air, LLC, executed on the nineteenth day of September 2008 by Denise Francois as organizer and acknowledged the same day before a notary. The foot of the first page carries the stamp of the Government of the United States Virgin Islands, Office of the Lieutenant Governor, Division of Corporation and Trademarks, at 5049 Kongens Gade, St. Thomas, with a manuscript date and time reading “Sept. 19, 2008 3:22pm.”3
The articles give the company’s initial designated office and its registered agent for service of process as Denise Francois, Esquire, of Hodge & Francois, 1340 Taarneberg, St. Thomas; state that “The minimum amount of capital with which the company will commence business in the Virgin Islands is One Thousand Dollars ($1,000.00)”; give the duration as unlimited; and provide that “The company is Manager-Managed. The name and physical address of the initial manager is: Darren Indyke,” at the law firm’s address.3 Article THIRD names the organizer as “Denise Francis,” a spelling that does not match the “Denise Francois” of Articles SECOND and SIXTH or the signature block; both forms are on the page.3 A separate Consent of Agent for Service of Process, signed by Denise Francois in 2008, records her consent to accept service in the Virgin Islands courts on the company’s behalf.10
The articles are styled First Amended, which implies an earlier set. Every copy of the articles among the documents that name the company is a copy of this same First Amended instrument; no earlier articles are among them, and the three certificates of existence in the release all date the filing to September 19, 2008.111213
The Lieutenant Governor’s office certified the company’s existence at least three times in the released material, each certificate reciting that the articles were filed on September 19, 2008, that the duration is unlimited, that the company “has paid all applicable fees to date” and that “Articles of Termination have not been filed by the company”: on October 13, 2010, in the file of the Port Authority correspondence; on September 16, 2011, forty-eight days before the bank account was opened; and on December 3, 2015, three months before the certificate of deposit was bought.111213
Ownership and the operating agreement
The company’s operating agreement is “made and entered into, effective for all purposes and in all respects as of the 22nd day of January, 2010.”14 That is the same date on which, by her later affidavit, Jeanne Brennan became the company’s manager.4 It is also the date the Port Authority’s own account of the sequence gives for the company’s first application for hangar space, and the date FirstBank later entered on its due diligence form as the date the business was established; both are set out below and on the airport page. The law office file index cited on that page lists, in the company’s organisational folder, a “Resignation of Darren Indyke as Manager.”
The agreement recites that the company was formed under the Virgin Islands Uniform Limited Liability Company Act, Title 13, Chapter 15, and that “the undersigned for himself and any other persons who may become members” wishes to set out provisions on capitalisation, operation, management and the allocation of profit and loss.14 Paragraph 5 gives the principal office as 6100 Red Hook Quarter, Suite B-3, American Yacht Harbor, St. Thomas, the mailing address as care of Hodge & Francois, and the resident agent as Denise Francois.15
Exhibit A to the agreement is a single line: Member, “Jeffrey E. Epstein”; Interest, “100%”. The Capital Contribution column is blank, and there is no signature on the exhibit in the copies in the bank’s file.5
On November 1, 2011, Jeanne Brennan swore an “Affidavit Re Not Doing Business” for FirstBank in which she stated that “Jeffrey Epstein is and has been from the date of the filing of the Articles of Organization, a copy of which is attached hereto, the Sole Member” of the company, that she had been its manager since January 22, 2010, and that the company “never did any business of any kind” and was “a holding company, which was not and is not intended to be used for any type of business.”4 Two paragraphs of that affidavit are not quoted elsewhere on this wiki and go to what the affidavit was for: paragraph 5, that the company “will not do any business of any kind prior to applying for and obtaining a United States Virgin Islands Business License, a copy of which will be delivered to the Bank,” and paragraph 6, “The Company requires a bank account for the purpose of paying its expenses.”4 The affidavit carries a manuscript signature over the typed name and a completed jurat.4
What the company told the territory
The company’s own reports to the Office of the Lieutenant Governor are in the release for more than one year, and they do not agree with each other or with the articles. The two set out below are seven years apart.
The company’s annual report for the period ending June 30, 2012, made on the Lieutenant Governor’s printed form headed “ANNUAL REPORT AND COMPUTATION OF FILING FEE” for a limited liability company, domestic or foreign, under Title 13, Chapter 15, gives the nature of business as “Holding Assets” and, at item 1(a), the name of the limited liability company as “Thomas World Airlines, L.L.C.”, which is not the name on the articles. It gives the designated and principal office as 6100 Red Hook Quarter B3, the agent for service of process as Erika Kellerhals at 9100 Havensight Port of Sale, and, at item 4, the name of the manager as Jeanne Brennan. Capital is $1,000 at each of the four lines that state an amount, with none added since the last report and none withdrawn; the fee due is $300. The “Certified Correct” block at the foot, with lines for the member and the date, is blank on the copy released.7
The Annual Report Filing 2019, filed electronically with the USVI Lieutenant Governor on July 31, 2019 (the filing stamp reads “Filed: July 31, 2019 08:28 PM” and carries no time zone) and marked “Changed,” was lodged by the estate two years later as Exhibit 18 to its inventory. It gives the principal office as 9053 Estate Thomas, Suite 101, Charlotte Amalie, the address of the law firm Kellerhals Ferguson Kroblin PLLC, and capital of $1,000.00, with none added and none withdrawn. Under “Business Details” it records the company as “Member Managed,” with one individual listed: Jeffrey EPSTEIN, status Active, position Member. No manager is named. A balance sheet and an income statement are recorded on the filing’s own Documents page, each entered with a file name and a time of creation and marked as created; neither file follows it. The signature block names Ms. Erika KELLERHALS, Attorney in Fact, on behalf of Member Jeffrey EPSTEIN, dated 07/31/2019, under a declaration under penalty of perjury citing the Virgin Islands fraudulent-claims statute, 14 V.I.C. § 843. The printed copy is stamped “Generated on February 21, 2020.”6
Neither of those two documents is in what a search of the released files returns. No page anywhere in the release carries the phrase “balance sheet” or the phrase “income statement” together with any of “Thomas World Air,” “Thomas World Airways,” “Thomas World Airlines” or “TWA, LLC”; the looser probe of those four name forms against the bare words “balance” and “income”, run because one damaged character breaks a phrase, returns 14 pages and 13, twenty-five distinct pages in all, and each was read in the extracted text. They are bank statements and account screens, clauses of the company’s own operating agreement, the estate’s Schedule C statement of income collected, the footnotes to the estate’s Verified Inventory, the FirstBank branch memorandum about the account’s fees, the certificate of deposit, a Form W-9 instruction sheet and a J.P. Morgan funds transfer form whose printed fields include a line for income; none of the twenty-five is a balance sheet or an income statement of this company. Within the 166 runs that name the company under any of those forms, “balance sheet” returns 51 pages across 6 runs, “income statement” 24 pages across 2, “profit and loss” 29 across 5, “statement of income” 9 across 3 and “financial statement” 1 across 1; those returns include the printed requirement line of the Lieutenant Governor’s annual report form on other entities’ filings, the same Documents block on another entity’s 2019 filing, the paragraphs of this company’s own operating agreement on the allocation of profit and loss, the estate’s own statement of income collected, the balance sheets and profit and loss statements attached to other entities’ annual reports in the same bundle of Lieutenant Governor filings, a reference in the accountants’ billing memorandum to Epstein’s own balance sheet, a research park’s list of the documents an applicant must file, and the line asking for the latest financial statement on this company’s own Port Authority application for space. Those are the classes found in the returns and the list is not offered as a closed one. “Statement of financial position” and “trial balance” return nothing against any name form. All of that searches the extracted text of the release, and would not reach a document that names the company only in a form the extraction damaged.
That filing is dated ten days before Epstein’s death on August 10, 2019. Whether the company was manager-managed or member-managed then became a live question for a bank five months later, and is dealt with below.
An undated Statement of Change of Designated Office and Resident Agent of Thomas World Air, LLC, drawn under Chapter 15, Title 13, Section 1110 of the Virgin Islands Code, records the designated office moving from 1340 Taarneberg to 9100 Port of Sale Mall, Suite 15, and the resident agent changing from Denise Francois to Business Basics VI, LLC at the same Port of Sale address. Its execution page is drafted for signature by “Thomas World Air, LLC / Jeffrey Epstein, Member” on a blank day of June 2013; on the copy released the day, the signature and the notarial block are all blank.16 On June 20, 2013 Darren Indyke forwarded to Epstein’s New York office a message from a lawyer enclosing “the revised forms for all the LLC’s,” with attachments named for a change of agent and office for FSF, LLC, IGO Company LLC and Thomas World Air, LLC, and asked that they be printed.17 The 2012 annual report had already given Erika Kellerhals as the agent for service, a year before that draft; this page does not resolve which change took effect when.
An internal Epstein-office memorandum of about March 2012 about accountants’ billing carries a schedule of every entity, with type, jurisdiction, tax identifier, filing dates, ownership and a note of purpose. Under the heading AVIATION, the row for Thomas World Air, LLC gives its type as a single member LLC, its state as USVI, its ownership as Epstein, and, in the Notes column, “Port Authority Hanger Lease & Operations.” The Tax ID column for that row reads ”??”, as it does for one other entity on the page; one further row on the page carries nothing at all in that column, and the remaining rows carry numbers. The columns were read across at the image.1
Federal registration and territorial tax
The Internal Revenue Service assigned the company an employer identification number by a notice dated November 1, 2011: the same day as the affidavit, and three years and six weeks after the articles were filed. The notice is addressed “THOMAS WORLD AIR LLC / JEFFREY EPSTEIN SOLE MBR” at 6100 Red Hook Quarter B3. No identifier from it is reproduced here.2
The company’s Virgin Islands franchise tax was $300 a year. For the year to June 30, 2011 it was paid not by the company but by another Epstein corporation, JEGE Inc., on a JPMorgan Chase cheque dated June 9, 2011, whose memo line names the franchise tax and whose payment record books the payment to an account headed “60402 · Thomas World Air Expenses” and names the payee entity as “Thomas World Airlines, L.L.C.”18 The memo line carries a federal tax identifier that is not the one the Internal Revenue Service assigned to Thomas World Air four months and twenty-three days later; no number from either document is reproduced here. For the year to June 30, 2012, after the company had its own account, the $300 was paid on the company’s own FirstBank Puerto Rico cheque no. 1043, dated June 5, 2012, to the Government of the Virgin Islands.19
Opening the bank account
The company had held the hangar bay since September 1, 2011 and had taken out a commercial electricity account before it had a bank account of its own. The Virgin Islands Water and Power Authority opened a Customer Service Contract in the name of THOMAS WORLD AIR LLC on October 17, 2011, customer type “TENANT,” class “COMMERCIAL,” for a service address at Lindberg Bay, taking a deposit of $1,248.00 and a $30.00 miscellaneous charge; the billing address on the contract is in New York rather than St. Thomas, and the customer’s signature and date lines are blank on the copy released.20
On October 31, 2011, on Thomas World Air letterhead and over a manuscript signature above the typed name “Jeanne Brennan, Manager,” the company wrote to the platinum banking division of FirstBank in St. Thomas: “Please be advised that we are authorizing First Bank to establish a checking account titled Thomas World Air, LLC. This bank account will be used to pay expense for maintenance and storage of personal aircraft.”21
FirstBank’s own opening file shows what it required and what it was given. A Deposit Account Opening Branch Referral, signed by a customer service representative in the platinum banking department and dated November 2, 2011, lists the documents forwarded for “the opening of an account in the name of Thomas World Air, LLC”: business and authorised-signer due diligence forms, signature cards, sanctions checks, a Form W-9 and employer identification number, the limited liability company agreement and telephone/facsimile agreement, the “Affidavit of not doing Business,” the Certificate of Existence and the Articles of Organization and Operating Agreement, and certifies “that the relevant due diligence has been performed in compliance with the Customer Identification Program & Know Your Customer requirements.”22 The bank’s Customer Due Diligence form for the entity, read at the image, gives the physical address as 8203 Lindberg Bay Suite #3, St. Thomas, which is the airport, and the mailing address as 6100 Red Hook Quarter B3. Against Type of Business it reads “Not doing Business”; against Annual Sales, “N/A”; against Date Established, 1/22/2010, which is the operating agreement’s effective date and not the date the articles were filed. Number of Employees is 3 and Number of Offices 1. Under Type of Entity the operator ticked the limited liability company box and also the Other box, whose typed entry reads “Facility to store and maintain aircraft,” and the same words are typed again under Account Purpose beside a ticked “Operational.” Expected monthly credits are one to ten transactions totalling “$25,001 o more” by account transfer; expected monthly debits are one to ten transactions totalling “$1 - $5,000” by cheque. The International Transactions panel is unticked and the Countries field on both the incoming and outgoing sides is filled in by hand, “None.” The initial deposit is $10,000.00, origin of funds “check.” All six client-classification risk questions are answered No. The form is signed as approved and dated 11/2/11, over the name and signature of the representative who interviewed the client on 10/31/2011; neither signature block on the form carries a title.23 Both names appear elsewhere in the bank’s file with a title against them: the approver as the bank’s platinum banking manager on the January 2013 branch memorandum, and the interviewer as a customer service representative in the platinum banking department on the branch referral, which carries the same name and signature.2422
The account, a commercial checking account with Epstein, Harry Beller and Jeanne Brennan-Wiebracht as its authorised signatures, was opened on November 3, 2011.825
Four weeks later, on November 28, 2011, a FirstBank officer carried out an Observations at Place of Business visit. The form records ten minutes at 6501 Red Hook Quarters, 900 square feet of rented space, four employees on the premises, and under “Describe Customer Traffic”: “None. Client does not have customers”. Suppliers: “none”. Customer base: “none.” Total sales of the business: “$0.” The account holder’s business is described, in the officer’s own words and under the company’s slightly wrong name, as: “Thomas Air Worldwide is a company established for the sole purpose of managing an Airplane Hanger which stores an aircraft owned by Jeffrey Epstein. They company oversees payments and all other management functions of the hanger with the exception of maintenance.” Against “Did your observations agree with your expectations for this type of business?” the officer ticked Yes and explained: “Simple management of company.” The conclusion reads: “Business is operating according to the nature of business.” The International Wire Transfer Activity panel at the head of the same sheet is entirely unticked.26 The address in the form’s Address Visited box is not the 6100 Red Hook Quarter B3 that the company’s own letterhead, the bank’s due diligence form and the Internal Revenue Service notice all give, and it is not the airport address the same due diligence form records as the physical address.26232
Four weeks earlier the company’s manager had sworn that it “never did any business of any kind.”
Where the money came from
The account was funded from Epstein’s own accounts at two mainland banks, in round sums, under the description “Account funding.”
A J.P. Morgan Funds Transfer Request with an effective date of October 10, 2013 moves a principal of $50,000.00 from a debit account titled “Jeffrey E Epstein” to receiving bank “FIRST BANK, PUERTO RICO,” beneficiary name “Thomas World Air, LLC,” account type “Checking,” with the payment details field reading “Account funding.” The payment type selected on the form is ACH; the “International Wire” option on the same row is not selected.27 A JPMorgan statement line for the same relationship records the transfer of funds “By ACH To Firstbank Puerto Rico Fao Thomas World Air LLC Account Funding.”28
An earlier transfer used a wire. On January 27, 2012 Epstein’s accountant Harry Beller instructed J.P. Morgan by memorandum: “Please transfer FIFTY THOUSAND DOLLARS & 00/100 ($50,000) from the above account to: Bank Name: First Bank … For the account of: Thomas World Air, LLC.”29 The corresponding line on the JPMorgan statement reads “Fedwire Debit Via: Firstbank PR … A/C: Thomas World Air Llc,” in the sum of $50,000.00.30
The same pattern runs through Epstein’s Deutsche Bank statements. His Elite Checking account at Deutsche Bank Trust Company Americas records an outgoing money transfer of $50,000.00 to FirstBank Puerto Rico for Thomas World Air LLC on April 27, 2015, another of $50,000.00 on April 19, 2016 and another on March 8, 2017; a separate Deutsche Bank transaction listing for the first half of 2017 records a further money transfer to the same beneficiary. The March and 2017 figures were read from the extracted text, where the amounts are damaged, and are not given here.31 A FirstBank Fedwire Receive Credit Advice addressed to THOMAS WORLD AIR LLC at 8203 Lindberg Bay, Suite 3, the airport address, names the originator as “JEFFREY EPSTEIN C/O HBRK ASSOCIATES, INC” and the originator’s bank as Deutsche Bank Trust Company Americas.32
What Deutsche Bank told the United States Attorney
On September 12, 2019, a month after Epstein’s death, Deutsche Bank gave the Office of the United States Attorney for the Southern District of New York a presentation on its Epstein relationship. Its Exhibit O is headed “Payments to Epstein-Affiliated Individuals & Entities (Not Onboarded by Deutsche Bank).” Two rows share the name cell Thomas World Air LLC: three payments totalling $150,000 and four totalling $400,000, in each case to a First Bank of Puerto Rico beneficiary account from a Jeffrey Epstein account whose number is redacted. The exhibit’s background note reads, in full: “Fits profile for Epstein-controlled entity, i.e., large, round number payments to a First Bank of Puerto Rico bank account. The entity name may be a reference to St. Thomas. Epstein reportedly reached his private island, Little St. James, by flying a helicopter from an international airport in St. Thomas.”33
The note gives the entity’s name as the reason for connecting it with St. Thomas. By September 2019 the company had been the Virgin Islands Port Authority’s named lessee at Cyril E. King Airport for eight years, on a lease the Authority’s board had approved and whose terms its executive director had set out in writing to the company’s counsel; and the Deutsche Bank statements from which the exhibit was drawn record transfers to its FirstBank account from April 2015 onward.
What FirstBank thought of the client
On January 28, 2013 the bank’s platinum banking manager wrote to a branch manager, under the heading “Branch Collection Worksheet”: “Thomas World Air LLC is one of several accounts belonging to our top Platinum client Mr. Jeffery Epstein. The company keeps an average balance of $50K with Platinum Banking.” The memorandum records that the company “was supposed to be placed on account analysis via FACIL from October 2012” and that “This processed was not completed via FACIL thus the client incurred service charges for the months of November 2012 and December 2012”; the manager asked for “the services charge fees to be credited back to the client.”24
On April 6, 2016 a FirstBank relationship manager wrote a memorandum headed with Epstein’s name: “Jeffrey Epstein is a large non-borrowing deposit Platinum Banking client of FirstBank VI. He has several companies with all of the accounts with FirstBank. He keeps an average combined balance of over $5.3MM with FirstBank. Mr. Epstein has been banking with FirstBank for over 7 years. Based on the overall deposit relationship, all of his accounts are approved to receive waived account service charge fees and waived wire transfer fees. Going forward, Mr. Epstein’s accounts will not receive a charge for service fees.”34 A Waive Charge Request Form of the same date, in the name of the account holder Jeffrey Epstein, ticks two of its seven charge lines: monthly service fees and transactions, and, under “Other,” wire transfer fees. The five it leaves empty are insufficient-funds fees, uncollected fees, daily overdraft fees, manager’s cheque fees and money order fees. Under the reason for the request it ticks “Banking Relationship,” and the explanation reads “See attached memo for account details.”35
The certificate of deposit, March 2016
On March 11, 2016 the company bought a FirstBank Certificate of Deposit in its own name: principal $25,000.00 (“Twenty-Five Thousand Dollars”), minimum balance requirement $2,500.00, initial term 12 months, maturity March 11, 2017, annual percentage yield and rate of earnings both 0.700%, compounding annually, with the payment disposition ticked as “CREDIT ACCOUNT” against the company’s checking account.36 The accompanying disclosure states that the certificate “will be automatically renewed at maturity for the original term at the current rate at maturity date.”37 The company’s Customer Due Diligence form for the new account gives the origin of the funds as “CUSTOMER DEPOSITS,” with “(check)” added beside it by hand, the date the business was established as 09/19/2008, three employees and one office, and the type of business as “Office Administrative Services.”38
The same day a bank officer made a second Observations at Place of Business visit, this one to 8203 Lindberg Bay, Suite 3, the airport address: thirty minutes, 900 square feet, the type of space ticked as Rented as it had been on the 2011 form, and the number of employees seen on the premises entered as 0.39
Contracts in the company’s name
The company contracted in its own name. On December 20, 2011 it entered an Agreement as “Owner” with a St. Thomas building contractor as “Contractor,” Agreement No. 01, project “Hangar Doors,” with schedules for scope of work, price and payment and invoicing instructions, and insurance requirements naming the Owner as an additional insured; the foot of the page is initialled by both sides in January 2012.40 In January 2013 a licensed building contractor addressed a quotation to “Ms. Jeanne Brennan, Manager, Thomas World Air, LLC” for the construction of the company’s fuel truck containment pad at the airport.41 In March 2012 an environmental consultancy addressed a proposal for a secondary containment system design and a spill prevention plan at the airport to the company.42 The Port Authority board’s August 2011 approval of the fuel-truck land had required the company to bear all construction costs and to have the pad, containment area and truck permitted and certified; that condition is on the airport page.
Named as the purchaser of an aircraft, 2016
In August 2016 the company was put forward as the buyer of a Boeing Business Jet. A sales manager at Royal Jet LLC of Abu Dhabi, negotiating over two aircraft, asked Epstein: “Are you able to disclose the name of the contracting party in this case?” He replied on August 21, 2016: “send me your short offer to purchase so that we may start, a serious dialogue. . the purchaser would be thomas world air, st thomas usvi.”43 Two days later Larry Visoski wrote to the same seller: “Yes, I represent Mr. Epstein / The purchase company would be Thomas World Airways / I’ll sign NDA and fwd post haste.”44 On September 4, 2016 the seller sent Darren Indyke “the updated LOI signed by our CEO, dated 4th September 2016,” asking him “to return the countersigned document via scanned email”; the covering message’s subject line reads “LOI Thomas World AirWays, LLC - BBJ MSN 30884” and its attachment is named for Thomas World Air and for execution on that date.45 It was returned two days later, and not by him: on September 6, 2016 Larry Visoski sent the seller the signed letter under the subject line “LOI signed Thomas World Airways, LLC,” copying Darren Indyke, over the message “Please find attached LOI signed, Please confirm receipt,” and the seller answered “Thank you, I confirm receipt of the signed LOI,” asking in the same message to be updated on the deposit and to be sent the draft purchase agreement for her lawyer to review. The letter of intent itself, in any state of signature, is in none of what the searches return. “MSN 30884” returns 28 pages across 20 runs, every one of them an email. “Countersigned” on a page that also carries the phrase “Thomas World” returns one page, the September 4 covering message; “letter of intent” on such a page returns five, being that message, its attachment stub and three law office file indexes. Each of those three lists a “Letter of Intent to Lease” under a heading for this company’s own lease of space at the airport, which is a different instrument from the aircraft letter, and two of them index letters of intent for other entities and other aircraft besides.46 “Thomas World” with “Royal Jet” returns 23 pages across 16 runs, all of it correspondence. The two attachment file names were searched by their execution tokens alone, as “Executed 4 Sep 2016” and “Executed by RJ”: the first returns one page and the second two, and all three are pages of the emails that carried the attachments rather than the attachments themselves. The underscores in the file names do no work in such a search, because the index does not treat them as characters: as a query “Letter_of_Intent” is the bare phrase “letter of intent,” which returns 489 pages across 367 runs. On one of the three pages the attachment stubs are printed with spaces and not underscores. Those searches are of the extracted text, and would not reach a copy produced without either party’s name on the page.47
The buying entity then changed. On September 6, 2016 Darren Indyke forwarded an escrow agent’s confirmation of “a $1,000,000.00 deposit from Plan D LLC” for the aircraft, and wrote: “Plan D, LLC will be the entity that actually takes title to the Aircraft at closing. It is owned by the same owner as Thomas World Air, LLC so I had it wire the Deposit to AIC.”48 On September 29 he wrote to the seller “as the lawyer for the principal of Thomas World Air, LLC and Plan D, LLC,” set out what he said were undisclosed engine hours and interior wear, and proposed “a new price of around $15.5 million.”49 On October 7, 2016, after the seller had rejected a reduced offer, he wrote: “I have been instructed either to prepare a purchase agreement embodying the $17 million purchase price provided in my October 5 email to you or to terminate negotiations and withdraw Thomas World Air, LLC’s/Plan D, LLC’s deposit.”50 Royal Jet’s president and chief executive, on the same day, accepted $17 million on five conditions including an “as is, where is” delivery at Abu Dhabi and payment of all rectification costs by the buyer, and required acceptance or rejection “immediately, otherwise we will proceed with other potential purchasers.”51 The released files end there. The estate’s 2020 inventory records Plan D, LLC as holding title to a 2007 Gulfstream Aerospace G-550, not to a Boeing Business Jet.9
The end of the account
On December 30, 2019 Erika Kellerhals of Kellerhals Ferguson Kroblin PLLC emailed FirstBank’s USVI platinum banking manager an executed letter of direction “regarding certain single member entity accounts owned by Mr. Epstein.”52 The letter is on ESTATE OF JEFFREY E. EPSTEIN letterhead care of the firm, addressed to the bank’s business development manager, headed “Marshalling of Estate of Jeffrey E. Epstein Assets,” and asks “that the following entity accounts be closed and the funds transferred into the estate account … prior to the close of the year,” listing six companies of which Thomas World Air LLC is the first. It closes: “As these companies are being dissolved at year end, we appreciate your assistance in resolving this matter expeditiously.” The letter itself carries no date line: December 30, 2019 is the date of the covering email and of the attachment’s filename. Richard D. Kahn’s signature is on the copy released; the signature line above Darren K. Indyke’s typed name is blank. The bank has numbered the first three entities in manuscript, bracketed the last three as “PENDING,” and written beside the signatures “ok to close items 1, 2 & 3,” initialled and dated 12/31/19. Account numbers are not reproduced here.53
The next morning the bank asked for feedback on the documentation and whether it could release the funds. Preliminary comments came back entity by entity, over the initials KEP, and on the first they read: “Thomas World Air LLC: Per the Articles of Organization, this is manager managed, and the manager is D. Indyke. Assuming this is correct, as it disagrees with your email, this entity is OK.”54 Kellerhals answered: “You are correct re: Thomas World Air. Jeffrey was the sole member. Darren is the Manager.”55 Five months earlier she had signed the company’s annual report to the Lieutenant Governor, as attorney in fact, on a form that recorded the company as member-managed with no manager at all.6
The bank then closed the account. FirstBank Manager’s Check no. 039093, dated 12/31/2019, names the purchaser as THOMAS WORLD AIR LLC and the payee as ESTATE OF JEFFREY EPSTEIN, “RE:CLOSING ACCT,” in the amount of $210,124.09 with a $15.00 fee, total $210,139.09.56 The bank’s account information screen for the same day shows the commercial checking account in status “09-CREDITS ONLY ALLOWED” with a customer balance of $210,139.09, opened 11/03/11, last customer activity 08/13/19, last deposit 03/11/19, last deposit amount $175.01.25 Every page of the bank’s file for the company carries a “CLOSED” stamp; on 129 of the run’s 130 pages its date line is completed in manuscript 12/31/19, and on one it is blank.57
The certificate of deposit was not on the letter of direction and was not closed. FirstBank’s response of March 9, 2020 to a Southern District of New York grand jury subpoena lists it as a twelve-month Virgin Islands certificate opened 03/11/16, with Jeffrey Epstein and Jeanne Brennan-Wiebracht as its authorised signatures, and its status as FROZEN. The commercial checking account appears on the same schedule as opened 11/03/11 and closed 12/31/19.8
The company in the estate
The estate’s First Quarterly Accounting, covering August 10 to December 31, 2019, gives Thomas World Air LLC in its Schedule B of entities owned by the decedent at $210,799 as of August 10, 2019 and, in the column for December 31, 2019, a dash. Seven other entities on the same schedule carry a dash in that column: Zorro Management LLC, Neptune LLC, NES LLC, JEGE LLC, Jeepers, Inc., FSF LLC and JSC Interiors LLC. The column is totalled, under a double rule, at $627,145,208. The columns were read across at the image.58 Its reconciliation of estate cash records, among “Other Increases,” a “12/31/19 Liquidation of Thomas World Air Account” of $210,124, the amount of the manager’s cheque, without the bank’s fee.59
The Verified Inventory, verified by Darren K. Indyke on February 28, 2020 over a completed Florida notarial acknowledgment, then values the company at $25,000.00 as of the same December 31, 2019, at voucher 18, among the limited liability companies wholly owned by the decedent.960 Its footnote 9 states that the values of those companies “are solely based upon available cash on hand, unless otherwise noted,” and lists Thomas World Air, LLC among eight entities that “hold other assets which must be appraised.”9 Footnote 30 explains why the inventory’s total exceeds the accounting’s for the same date: “This is a result of an increase in value of Thomas World Air of $25,000.00, an increase in value of SCI JEP of $954,011.00 … and the inclusion of Lyn and Jojo, LLC.” It ends: “These increases in value will be reflected on the Amended First Quarterly Accounting to be submitted to the Court.”61
Voucher 18 itself is the company’s 2019 annual report to the Lieutenant Governor.6 Where the estate lodged operating agreements as the vouchers for Plan D, JEGE, Hyperion Air, Neptune and NES, for Thomas World Air it lodged the registry filing.9
The other two companies whose FirstBank accounts were emptied into the estate on the same day, FSF, LLC and Jeepers, Inc., appear in the inventory under “Dormant/Inactive Entities Wholly Owned by Decedent” at nil, each with a footnote recording that the entire balance of its bank account was transferred to the estate on 12/31/2019 and that it “will be dissolved.”61 Thomas World Air is not in that list. It is in the active list, at $25,000, with assets to be appraised.
Two figures in this record are the same and the record does not connect them. The certificate of deposit the estate did not close had a principal of $25,000.00; the increase in the company’s value that the inventory’s footnote records is $25,000.00. The certificate also directed its interest to be credited to an account; 0.700 per cent of $25,000 is $175.00; and the last deposit into the closed checking account was $175.01, on March 11, 2019, the certificate’s anniversary date. No document in the release states that the $25,000 in the inventory is the certificate. What the documents show is set out above; the identification is not made here.
Whether the company was ever dissolved is not shown. Searches of the released files for “Articles of Termination,” “Articles of Dissolution” and “Statement of Dissolution” return, among the documents that also name Thomas World Air under any of its three name forms, only the three certificates of existence themselves, each of which states that articles of termination had not been filed as at its date, the latest of those dates being December 3, 2015.111213 A search of the same set for “dissolution” or “dissolved” returns sixteen pages across seven runs. They fall into five classes. Six of the pages are the standard dissolution-and-termination clause of the company’s own operating agreement, in its three copies.62 Six are the executors’ letter of direction, in its copies, saying the companies “are being dissolved at year end.”53 Two are one page of the estate’s inventory, in its two copies, whose footnotes say that VT&T, LLC, JSC Interiors, LLC, FSF, LLC and Jeepers, Inc. “will be dissolved,” quoted above.61 One is the FirstBank check request form for the closing manager’s cheque of December 31, 2019, a document also cited above for its amount: its Purchase Purpose field, machine-printed like the other completed entries on the form, reads “closing acct. company being dissolved as of 12-31-19 & assets transferred to Estate of J. Epstein.”56 And one is a law office file index of the same family as those cited on the airport page, which carries an underlined heading DISSOLUTIONS over twelve entity names, and a second heading DISSOLVED for one of them. Thomas World Air, LLC is not among the twelve; a differently-named Delaware company, Thomas World Enterprises, LLC, is.63 That is what those two search terms return over that set of documents, and it is not a claim about everything in the release that bears on the question.
What was searched
Every copy of the Articles of Organization within the documents that name the company was opened and compared; all are the same First Amended instrument of September 19, 2008. A phrase search of the released files for “Thomas World Air” returns 297 pages across 139 runs; for “Thomas World Air, LLC,” 221 pages across 107 runs. Two variant names were searched separately because the text layer alone would not have surfaced them: “Thomas World Airways” returns 16 pages across 13 runs and “Thomas World Airlines” 3 pages across 2 runs; both were read, and the uses cited above were confirmed at the page images. “TWA, LLC” returns 39 pages across 23 runs. Searches for “Articles of Termination,” “Articles of Dissolution” and “Statement of Dissolution,” and the search for “dissolution” or “dissolved” over the same set of documents, are reported in the paragraph above, with what each returned. The searches behind the two other statements of what the release does not hold, being the balance sheet and income statement uploaded with the 2019 annual report and the letter of intent for the Boeing Business Jet, are reported in the body above, in the paragraph that makes each statement, with the terms, the variants and what each search returned; the method and the limits of the letter-of-intent search are stated in its footnote, and the balance-sheet paragraph carries no footnote of its own. Every document quoted on this page was opened. Every page from which a person is named was read at the page image, and so was every page carrying a quotation whose exact wording is load-bearing; the footnotes say which. Every sentence above that reports a ticked box, an empty box, a blank signature line, a signature present on the copy pinned, a completed field, or whether a completed entry is machine-printed or written in by hand was also read at the page image, and where a single mark was in question the embedded scan was read at its own resolution rather than enlarged. That was necessary because the extracted text of these forms is not a reliable record of what is ticked: it renders empty boxes and ticked boxes alike as stray letters, on one form it loses an empty box inside a garbled word while printing the ticked one beside it as a bare character, and on another it reads the typed figure 3 in the employees field as a 1. The pins that remain read from the extracted text alone are the certificates of existence of October 13, 2010 and December 3, 2015; the certificate of deposit’s terms and disclosure page; pages 6 to 8 of the March 2016 visit form; the spill-prevention proposal; the JPMorgan and Deutsche Bank statement lines other than the one the footnote marks as read at the image; and the duplicate copies listed in the footnotes. They are marked as no more than that by the absence, from their footnotes, of any note that the page was read at the image; where one footnote pins several pages, that note names the page it read.

Sent:headers on both sheets carry no zone, but the sheet carries two zoned stamps — the forward’s own header, “Date: Wed, 07 Sep 2016 04:26:28 +0000,” and the seller’s reply quoted as “Date: September 7, 2016 at 12:17:27 AM EDT,” nine minutes earlier — and the unzonedSent:line for the message that reply answers reads two minutes before it once converted, which puts the quoted headers four hours ahead of UTC, and so eight hours ahead of Eastern time. In that frame, and in UTC and Eastern alike, the signed letter went out on September 6. The extraction renders “LOI” as “L0I” in the confirmation line, so that reading is from the image. The seller is named on both sheets and is not named here; the redactions are email addresses in the headers, her own contact line beneath her signature, and the telephone and web lines in the two copies of her firm’s standard footer. FirstBank’s customer file for Thomas World Air, LLC. All 130 pages of the run were read at the image for this page, on the embedded scan at its own resolution, and the stamp is on every one; eight pages where it was faint, overprinted or rotated with the sheet were re-read magnified. Its date line is completed in manuscript 12/31/19 on every page but one, https://epstein-data.com/EFTA01268970 p.62, where the stamp is present and the date line is blank. On eleven pages of the run the 12/31/19 is a manuscript correction and not a first entry: an earlier entry on the line is struck through and 12/31/19 written unstruck above it on nine sheets, below it on one and beside it on the line on one. Each of the eleven was read on the native raster magnified. On ten of them the struck entry is legible as 2/25/20; on one it is too faint to read at the scan’s own resolution of 96 pixels to the inch, where only the strike itself is certain. One of the eleven shows nothing in the stamp region of an upright window and reads only once the sheet has been turned; it is the only sheet in the run scanned that way. On one further page the entry on the line is written over rather than struck, the strokes are superimposed, and the date beneath cannot be read at that resolution; that page is not counted among the eleven. Nothing on this page turns on the correction, and the sentence above is true as it stands; it is recorded because part of the file was dated in a later pass and corrected back to the closing date, and because a manuscript correction is the first thing a reconstructed copy loses. The stamp varies in rotation, scale and ink density from page to page, so it is not reliably found by machine and was counted by eye. ↩
