Paul Hoffman is a U.S. Virgin Islands lawyer whose practice, Paul Hoffman, P.C., at 41–42 Kongens Gade, St. Thomas, was the registered Virgin Islands address of Jeffrey Epstein’s first two territorial entities.146 He consented to act as agent for service of process for Financial Trust Company, Inc. on the day it was incorporated in November 1998, and in June 2000 was named an incorporator, the resident agent, an initial trustee and an initial officer of the J. Epstein Virgin Islands Foundation, Inc.367 He notarised instruments for Epstein’s companies and trusts until his commission lapsed in 2004, was named a co-executor of Epstein’s will in 2001 and dropped from it in December 2004, and signed the 1999 coastal-zone permit for the dock at Little St. James as attorney for L.S.J., LLC.10111416 He signed a 2003 management agreement as vice-president of St. Thomas Sport Fishing Center, Inc., and in 2014 and 2015 he appears in Epstein’s correspondence not as his lawyer but as a commercial counterparty in a dispute over dock rights at American Yacht Harbor.151718 No statement from Hoffman about any of the matters described here is recorded on this page.

Practice in St. Thomas

The firm’s letterhead reads “PAUL HOFFMAN, […] / ATTORNEYS-AT-LAW / 41-42 KONGENS GADE / POST OFFICE BOX 870 / ST. THOMAS, U.S. VIRGIN ISLANDS 00804-0870”.1 Documents transmitted from the office carry the fax header “PAUL HOFFMAN PC,” and Virgin Islands corporate filings and a 2003 commercial agreement give the firm’s name as “Paul Hoffman, P.C.”21915 Courier invoices in the release record packages passing between Epstein’s New York office at 457 Madison Avenue and Paul Hoffman, P.C. in St. Thomas in both directions, in 2001 and again in 2003.202122

Correspondence sent out over the firm’s name was not always signed by Hoffman himself. A letter of September 14, 2000 to Darren K. Indyke at J. Epstein & Company, Inc., enclosing the Foundation’s Forms 1023 and 8718 as date-stamped by the Virgin Islands Bureau of Internal Revenue on September 13, 2000, is signed under the firm name by Barbara Mignon Weatherly and copied to “Mrs. Cecile R. de Jongh.”1

Two Epstein estate progress reports record Hoffman acting as local counsel on island business in 2003. The report of September 26, 2003 records that “As per P Hoffman, JE approved St. John Rescue’s request of permission to install a radio inside a building on LSJ. This approval is subject to a liability review by P Hoffman.”23 The report of November 28, 2003 records that “Hoffman & Darren have reviewed the SJR agreement for liability issues & forwarded to St. John Rescue for signature,” and that “Per P Hoffman Nov 18, signed agreement sent to Darren.”24 Earlier, on March 6, 2001, Miles Alexander, a member of Epstein’s Virgin Islands staff, wrote to Ghislaine Maxwell under the subject line “Staff discussion with Paul Hoffman,” reporting a “lengthy conversation” in which the two had gone through which of the island’s contract workers should properly be treated as employees and had agreed that workmen’s compensation cover should apply to anyone working on the island.25

Financial Trust Company, Inc.

Financial Trust Company, Inc. filed articles of incorporation with the Office of the Lieutenant Governor of the U.S. Virgin Islands on November 6, 1998.26 Article II of the articles states that “The principal office of the corporation in the Virgin Islands is located at 41-42 Kongens Gade, St. Thomas, VI 00802 , and the name of the resident agent of the corporation at that address is Paul Hoffman.”4 On the same day Hoffman signed the Consent of Agent for Service of Process, by which the person designated by a Virgin Islands corporation accepts service of process on its behalf; the consent was sworn before Barbara Mignon Weatherly as notary.3

The company elected to be taxed as a small business corporation with effect from the tax year beginning January 1, 1999. Its Form 2553 gives the corporation’s address as “c/o Paul Hoffman” in St. Thomas and answers the question asking for the “Name and title of officer or legal representative who the IRS may call for more information” with “Paul Hoffman, Esq.” The shareholder consent is signed by Jeffrey E. Epstein for 500 shares acquired on November 6, 1998, and the officer’s signature is dated March 8, 1999.27

Hoffman is named as the company’s resident or authorised agent in the Virgin Islands in successive annual reports filed with the Lieutenant Governor, including the report for the fiscal year ended December 31, 2004, which is dated June 27, 2005 and stamped received on June 29, 2005.285 The report for the fiscal year ended December 31, 2006 names Maria Hodge in that field instead.29 Correspondence from the Internal Revenue Service addressed to “FINANCIAL TRUST COMPANY INC % PAUL HOFFMAN” at Epstein’s Red Hook Quarter suite carries a received stamp of December 21, 2010.30 Earlier annual and franchise-tax reports for the company give its address in care of “Paul Hoffman, P.C., P.O. Box 870” in St. Thomas.3119

J. Epstein Virgin Islands Foundation, Inc.

The J. Epstein Virgin Islands Foundation, Inc. filed articles of incorporation with the Lieutenant Governor on June 15, 2000.32 Article II names Hoffman as the resident agent, at 41–42 Kongens Gade; Article V names him first among the three initial trustees, alongside Epstein and Jeffrey Schantz, and lists him as initial vice-president, assistant secretary and assistant treasurer; Article VIII names Barbara Mignon Weatherly, Hoffman and Epstein as the incorporators.633734 The by-laws provide that “The first Board of Trustees of the Corporation shall be composed of Paul Hoffman, Jeffrey Epstein and Jeffrey Schantz.”35 The articles were acknowledged by Weatherly and Hoffman before a Virgin Islands notary, and by Epstein before a New York notary.36

Both of the Foundation’s first meetings were held on July 25, 2000. Epstein, as sole member, met at 2:30 p.m. at 41–42 Kongens Gade with Hoffman present; Epstein chaired and Hoffman acted as secretary and kept the minutes, and the member resolved that Hoffman, Epstein and Schantz “be the elected members of the Board of Trustees.”37 The trustees then met with all three present, Epstein as chairman and Hoffman as secretary of the meeting, and elected Epstein president and treasurer, Schantz vice-president and secretary, and Hoffman vice-president / assistant secretary and assistant treasurer.8 The Foundation’s Form 1023, at Part II line 4a, lists “Paul Hoffman - Trustee, Vice President, Asst. Treasurer and Asst. Secretary” at 41–42 Kongens Gade.9

Two instruments prepared for the Foundation and dated only “June 2013” would have moved its principal office from 41–42 Kongens Gade to 9100 Port of Sale Mall, Suite 15, and replaced “the Corporation’s current agent for service of process … Paul Hoffman” with Business Basics VI, LLC. One is a certificate of change of principal office and resident agent to be executed by Epstein as president and Erika Kellerhals as secretary; the other is a unanimous written consent of directors to be signed by Epstein, Indyke and Kellerhals.3839 In the released copies both are unexecuted: the day of the month, every signature line and the notarial block are blank.3839 A search of the released files under the variants “Paul Hoffman”, “P. Hoffman”, “Pal Hoffman”, “Haul Hoffman” and “Hoffman” together with “Kongens Gade” returned no executed version of either instrument.

Notarial acts

Hoffman’s notarial stamp reads “PAUL HOFFMAN / NOTARY PUBLIC / COMMISSION NO. LNP-011-00 / COMMISSION EXPIRES JUNE 27, 2004.”10

On June 27, 2003 Epstein executed the first amendment to The Jeffrey E. Epstein 2001 Trust One, which reads: “I hereby remove JEFFREY A. SCHANTZ as a co-Trustee of the trust and designate GHISLAINE MAXWELL and IRA ZICHERMAN as successor co-Trustees in his place.”40 The instrument bears signature lines for Epstein as grantor and as trustee and for Ghislaine Maxwell and Ira Zicherman as trustees, and Hoffman took Epstein’s acknowledgment on it the same day in the District of St. Thomas–St. John.41 The first codicil to his will, which removed Hoffman and Schantz as his executors, is dated the same date.42

In August 2003 he notarised the Consent of Agent for Service of Process for Jeepers, Inc., a Virgin Islands corporation whose articles give its principal office as 41–42 Kongens Gade but name Barbara Mignon Weatherly, not Hoffman, as its resident agent. His office transmitted the Jeepers incorporation papers by fax on September 29, 2003 and again on March 6, 2007.43444546

Epstein’s will

Epstein’s will of December 11, 2001 provides at Article THIRD: “I appoint JEFFREY A. SCHANTZ and PAUL HOFFMAN as Executors of this will,” and further that each executor “shall be entitled to receive the sum of One Hundred Thousand Dollars ($100,000) as compensation for such services.”1147 The first codicil, dated June 27, 2003, substituted Henry Jarecki and James Cayne as executors and provided that “If either HENRY JARECKI or JAMES CAYNE fails to qualify or ceases for any reason to act as Executor, I hereby designate PAUL HOFFMAN as successor Executor to act in his place.”12 The second codicil, of December 3, 2004, added Lawrence Newman as a third executor and kept Hoffman as the designated successor.13 The third codicil, of December 16, 2004, made the same substitution in favour of Indyke and raised the executors’ compensation to $250,000.1448 Two further codicils follow, a fourth dated September 5, 2007 and a fifth executed in September 2007; neither names Hoffman.49

Little St. James

Major Coastal Zone Management Permit No. CZT-5-99W, issued by the St. Thomas Committee of the Virgin Islands CZM Commission to “L.S.J., LLC ( LITTLE ST. JAMES, LLC)”, approved the renovation and expansion of an existing dock on Little St. James.50 Hoffman signed the permit for the permittee as “Attorney for LSJ,LLC” on December 15, 1999 and certified on the following page, before Barbara Mignon Weatherly as notary, that “as the legal representative for L.S.J., LLC., LITTLE ST. JAMES, LLC, I am duly authorized and empowered to sign this Permit on behalf of L.S.J., LLC., LITTLE ST. JAMES, LLC.”5116 The chairman of the St. Thomas CZM Committee signed on December 7, 1999, Governor Charles W. Turnbull approved it on February 18, 2000, and the Legislature’s Committee on Planning and Environmental Protection ratified it on March 30, 2000.51 The permit directs that notices to the permittee be sent to “L.S.J.,LLC, Little St. James Islands Inc. c/o Paul Hoffman, 41-42 Kongens Gade, P.O. Box 870, St. Thomas, Virgin Islands, 00804.”52

The same production holds Virgin Islands building, air-pollution and discharge permits issued to L.S.J., LLC, including permits dated in 2006, 2007, 2010 and 2011; those permits do not name Hoffman, and the September 2007 application to modify Minor CZM Permit No. CZT-53-04L was made under a grant of authorisation from Epstein, as sole member of L.S.J., LLC, to two other named attorneys.5354

In later island correspondence, on September 10, 2018, an environmental consultant working on the island’s shoreline and dock permits wrote to Epstein: “I think Paul Hoffman may have some of that paper work.”55

American Yacht Harbor and P-dock

Hoffman signed a management agreement between St. Thomas Sport Fishing Center, Inc. and American Yacht Harbor, Inc. as vice-president of St. Thomas Sport Fishing Center. Section 17 of the 2003 agreement recites “a dispute between them over the past several years with respect to the length of the vessels to be docked on the west side of the STSFC dock and on the east side of the A dock operated by AYH.” The signature page is witnessed by Barbara Mignon Weatherly and directs a mandatory copy to Paul Hoffman, P.C.15

On January 11, 2014 Thomas Mukamal, president of Island Global Yachting Ltd., wrote to Andrew L. Farkas that the company had “filed an objection today to a permit application made by Paul Hoffman adjacent to AYH,” which in his view would “force IGY to rent P-dock from him forever at an above market rent.”17 The objection letter he attached was filed by IGY-AYH St. Thomas Holdings, LLC with the Virgin Islands Commissioner of Planning and Natural Resources against St. Thomas Sport Fishing Center, Inc.’s application to renew Major CZM Permit No. CZT-7-93W.56 Farkas forwarded the exchange to Epstein and asked for advice; Epstein replied, “paul is a scumbag. I will handle.”17 No statement from Hoffman about this exchange is recorded on this page. On February 7 Mukamal wrote to Epstein directly, describing “our objection to CZM of Paul Hoffman’s renewal application which, in our view, is sort of a land grab,” and offering a call before a hearing set for February 27.57

On March 6, 2014 Lesley Groff relayed a message from Farkas to Epstein: “I am very concerned we are both getting *&%$ by Paul Hoffman ..and you need to call me for details so you can help intervene….”58 On the evening of March 21, 2014 Cecile de Jongh emailed Epstein under the subject line “Paul Hoffman…” with the body “…would like to speak with you re AYH.”; Epstein replied three minutes later, “number?”, and her answer is redacted in the released copy.5960 Later that evening Epstein wrote to Farkas: “got the expected call from Paul Hoffman asking me to mediate. listened to his long story …” He then listed four points from the call: a sewage cut-off, an obligation to repair, a sidewalk, and Hoffman’s contention that “they were there first”. He recorded Hoffman as saying that both docks could take 65-foot boats and that an offer had been made of a $25,000 fix-up with a five-year extension at half the current rent.61 On March 25 Epstein wrote to Farkas that Hoffman wanted the two sides and their counsel to meet, “hopefully before sewer is cut off.”62

On January 12, 2015 Mukamal reported to Farkas that “we have worked a very long time to enter into an appropriate and favorable long term settlement with Albert Paiewonsky and Paul Hoffman regarding the operation of P-dock at AYH. We are basically done,” and that under the proposed settlement “Albert and Paul will be investing over $200,000 and AYH will invest about $60,000 to rebuild P-dock”; the obstacle he raised was that the engineering assumed Epstein’s Little St. James barge would be relocated. Farkas forwarded the message to Epstein.18 The record on this page of Hoffman’s own position in the dispute is Epstein’s summary of the mediation call.

Later correspondence

On December 18, 2014 Cecile de Jongh forwarded a letter to Epstein under the subject “Fw: JEE/Cy Thompson,” writing: “Please find attached a letter from Paul Hoffman. He asked me to pass this on to you.”; the attachment is not part of the released document.63 On December 21, 2016 she wrote to him: “I checked the safe in the copy room and it has an old Danish picture collection that Paul Hoffman sent to you. See the transmittal letter below. Would you like these sent to LSJ?” Epstein answered “yes,” and she replied, “OK, will do.”64

Contemporary press inquiry

On August 17, 2011 the reporter Wayne Barrett emailed a list of questions to the Governor of the U.S. Virgin Islands under the subject “Request to speak with you, from Wayne Barrett / Questions from Newsweek”, saying he was working on a story about Epstein and the territory’s Economic Development Commission programme. One question asked the Governor to “describe your own relationship with Mr. Epstein over the years, your wife’s, your friend Paul Hoffman’s, as well as your ties to other attorneys who have represented him in the VI,” and added: “I know that Mr. Hoffman became Mr. Epstein’s lawyer as a result of representing the prior owner of Little St James.”65 Both are Barrett’s own assertions, made in a list of questions to the Governor; the copy in the release is the one Epstein forwarded to Michael Wolff and Ian Osborne on August 19, 2011, and the addressee and copy lines of Barrett’s message are redacted.6665 A search of the released files under “Barrett,” “Newsweek” and the Governor’s name found no reply from the Governor to Barrett’s questions and no published story.

Note on name matches

A “Hoffman” appearing in Steven Hoffenberg’s litigation history is the New York firm Hoffman & Pollok, cited in an August 2016 letter as Hoffenberg v. Hoffman & Pollok, 288 F. Supp. 2d 527 (S.D.N.Y. 2003).67 A courier invoice in the release addressed to a Paul Hoffman at a mainland residential address is a different person, is not the subject of this page and is not cited here.
