Maple, Inc. is a United States Virgin Islands business corporation, registry number 581976, incorporated on 22 November 2011.1 It is the company that held Jeffrey Epstein’s Manhattan house; the house, the December 2011 deed and the estate’s valuation of the property are at 9 East 71st Street.1213 This page is about the corporate record: what the company filed with the Office of the Lieutenant Governor, Division of Corporations and Trademarks, in each of the years it existed, what it told the territory it was doing, who signed, and what the office wrote on the papers as it took them in.8

That record runs from a certificate of incorporation to a filing lodged a month after Epstein’s death.110 Across the seven years in between, the company told the territory that its business was “Holding Property for Personal Use,” that the capital used in conducting business within the Virgin Islands was $1,000, and, on the sheets for 2011 and 2012, that there had been no activity.414

The corporate file, and the four copies of it

The release holds the Lieutenant Governor’s corporate file for the company four times, each a thirty-three-page run in the same order.9 Each of the four is a photographed scan: paper grain, punch-hole shadows, skew and pen ink are visible on the sheets rendered for this page, and none of the four is a vector reconstruction.9 Every pin on this page names the copy it was read from, and unless another is named that copy is EFTA01305177.8

The four copies did not reach the release by the same route. Two carry a prior production’s page stamps in two different blocks, one of those also carrying a confidentiality legend; a third carries a United States Attorney’s Office stamp from its first sheet, standing above a differently prefixed stamp on the same sheet; the fourth carries no earlier stamp at all.9 The four are not interchangeable in a second way as well: on the same sheet of the same instrument they do not black out the same material.9

The run is ordered by instrument and then, for the annual filings, backwards in time:

Incorporation, 2011

The articles were subscribed on 21 November 2011 by three incorporators, each signing in ink, and acknowledged before a notary the same day; the office filed them on 22 November 2011.21 Article V opens “The names and places of residence of each of the persons forming the Corporation are as follows” and names Erika A. Kellerhals, Gregory J. Ferguson and Brett Geary.2 The corporation’s resident agent, named in Article II, was their own firm, Kellerhals Ferguson LLP, which consented in writing to act on the same day.23 None of the three men who would afterwards sign the company’s returns is named in the seven sheets of the articles in the copy this page reads from; a search of the extraction of all four copies for each of their three surnames and each of their three forenames returns no hit on any of those sheets in any copy.29

The stated purposes are general. The first is “To engage in any lawful business in the United States Virgin Islands,” and the article closes by providing that the purposes “shall not be limited or restricted by reference to the terms of any other subdivision or of any other article of these Articles of Incorporation.”2 Article IV authorises ten thousand shares of common stock at one cent par value and fixes the minimum capital at one thousand dollars.2 Nothing in the articles names a property.2

On 27 December 2011 the Lieutenant Governor certified that the corporation had filed articles of incorporation in his office on 22 November 2011. The certificate carries an inked impression of the seal of the Government of the Virgin Islands and a pen signature over the printed name of Gregory R. Francis, Lieutenant Governor.1

The change of resident agent, 2012

By a resolution expressed to be adopted by written consent without a meeting, and dated as of the first day of June 2012, the President and Secretary of the corporation resigned Kellerhals Ferguson LLP as agent for service of process and appointed Business Basics VI, LLC in its place, at the same Havensight address.5 The sheet is signed in ink by Jeffrey E. Epstein as President and Darren Indyke as Secretary, and an impression of the corporate seal is annotated by hand beside them.5

The instrument’s printed jurat is a Virgin Islands jurat, reciting the Territory of the United States Virgin Islands and the District of St. Thomas and St. John. The notarial stamp impressed beneath it is that of a notary public of the State of New York, qualified in Rockland County.5 The office’s date stamp on the sheet reads 13 September 2012, and the new agent’s own consent, on the office’s printed resident-agent form, is dated the same day.56 A second copy of the change certificate, two pages standing alone, is elsewhere in the release.5

Seven years of returns

For each year the company filed a franchise tax report and an annual report on the Lieutenant Governor’s forms, with a one-page balance sheet.8 The reports repeat one another almost exactly. Every one gives the address of main office as 6100 Red Hook Quarter, B3, St. Thomas; every one gives the date of incorporation as 11/22/2011 and the nature of business as “Holding Property for Personal Use”; every one gives authorised capital as 10,000 shares of common stock at $.01 par value, and both paid-in capital and the capital used in conducting business within the territory as $1,000.4 Every one names the same three officers in the same three offices, with the same term expiration.7

Two things in that table are worth setting out. The date the filer entered on the form is 30 June in every year, the statutory due date printed on the form itself; and in five of the seven years whose stamps are legible the office had already stamped the papers received before that date arrived. The stamp reads 27 June 2013 on the papers for 2012, 29 June 2015 on those for 2014, 22 June 2016 on those for 2015, 26 June 2017 on those for 2016 and 26 June 2018 on those for 2017.41716 And the last year’s franchise tax report enters $300.00 as the tax due, where every earlier report enters $150.00, the floor the printed line itself sets.174 The three rules of that report’s late-payment section carry no entry, and its total due line gives $300.00.17 Nothing cited here states why the figure doubled.

The office wrote on the papers as it processed them. Several of the franchise tax reports carry a manuscript notation in ink recording the sum received, a receipt number and the number of the cheque it was paid by: cheque 1006 against the 2012 report, cheque 1017 against the 2017 report.417

The declarations, and a copy that is not signed

Both territorial forms print a declaration under penalty of perjury above the signature block, in the same words: “I DECLARE, UNDER PENALTY OF PERJURY, UNDER THE LAWS OF THE UNITED STATES VIRGIN ISLANDS, THAT ALL STATEMENTS CONTAINED IN THIS APPLICATION, AND ANY ACCOMPANYING DOCUMENTS, ARE TRUE AND CORRECT…”.4 The quotation stops there; the printed sentence does not. It runs on to say that the signer has full knowledge that all statements made in the application are subject to investigation and that any false or dishonest answer to any question may be grounds for denial or subsequent revocation of registration.4

All fourteen declarations in this copy of the corporate file are signed. Each of the seven franchise tax reports and each of the seven annual reports, for every year from 2011 to 2017, carries a pen signature over the rule captioned SIGNATURE beneath the TREASURER caption and another beneath the PRESIDENT caption, above the printed names Richard Kahn and Jeffrey Epstein, or on the two 2011 sheets above the printed captions Treasurer and President.1815 All fourteen sheets were rendered and read at 400 dpi for this page.18 On the twelve sheets on the newer forms the stroke over the TREASURER caption is blue ink on all twelve; the stroke over the PRESIDENT caption is blue ink on eight of them and a neutral black on the other four, which are both sheets of the 2017 pair and both sheets of the 2012 pair.18

The rule captioned DATE is completed in ink on ten of those twelve sheets and is empty on two: both sheets of the 2012 pair.18 Read at 600 dpi, the two rules on the 2012 annual report carry no mark of any kind, while the two signatures above them are unmistakably ink.18

That matters because the release holds a second copy of that same 2012 pair, and it is not signed at all. In a thirty-six-page run in which seven companies’ 2012 filings stand together, Maple’s annual report and franchise tax report carry the same printed entries, the same printed date of 6/30/2013 and the same printed names, and the rules captioned SIGNATURE and DATE under both captions are empty, with no office date stamp and no manuscript notation anywhere on either sheet.19 The set those two sheets belong to is the subject of a separate page; what is reported here is only the difference between the two copies of Maple’s own two sheets.19

What the balance sheets said

A balance sheet accompanies each year’s report, on one page, headed with the company’s name and its employer identification number.14 The printed footnote at the foot of the annual-report form states the requirement they were filed to satisfy: the report is not considered complete unless accompanied by a general balance sheet and profit and loss statement for the last fiscal year as required by the Virgin Islands Code, and financial statements should be signed by an independent public accountant.7 None of the seven carries a signature, a date, a preparer’s name or an accountant’s name.14

The seven sheets were read at the image at 400 dpi. On none of them is there a line for real property in New York, or for any property at all after 2012; the whole of each income statement from 2013 is an income line reading nil, a single line of general and administrative expenses, and a net loss.14 On the 2011 and 2012 sheets the asset line reading PROPERTY $1,000 stands against paid-in capital stock of $1,000 in the equity block below.14

Money reaching the company

Five Fedwire receive credit advices produced by FirstBank Puerto Rico under the bank’s own certification stamp record credits to Maple, Inc. at its St. Thomas address, each originated by Jeffrey Epstein care of HBRK Associates, Inc. in New York and sent through Deutsche Bank Trust Company Americas: $300,000 on 7 June 2016, $350,000 on 4 April 2017, $350,000 on 8 June 2018, $450,000 on 22 February 2019 and $275,000 on 29 March 2019.20 Each advice records a charge amount of nil, so the credit amount equals the received amount, and each is marked confidential.20 Two of those credits, $300,000 in June 2016 and $350,000 in April 2017, reached the company before 31 December 2017. The balance sheet the company filed for the year ended on that date gives total assets of $18,281.1420 This page sets the two out and does not reconcile them; no document cited here explains the difference.

The last filing, September 2019

The corporate file ends with the year 2017. The company’s next filing in the release is electronic: a printout headed “Franchise Tax and Annual Report Filing 2019” for MAPLE, INC. (581976), generated from the Lieutenant Governor’s system and bearing the line “Filed: September 09, 2019”.10 Against the question whether the entity had economic activity during the reporting period the entry is No.10 The three officers are listed with status Active and term expiration Perpetual, Epstein as President.10

Epstein died on 10 August 2019.21 The filing lodged on 9 September 2019 therefore reached the office a month after his death, listing him as an Active officer.1021 Its signature block records “Ms. Erika KELLERHALS” as “Attorney in Fact” “On Behalf Of” the President, against the name Jeffrey EPSTEIN and the date 07/31/2019, and Richard KAHN as Treasurer against the same date.10 The attorney in fact who signed for the president in 2019 is the first of the three incorporators who subscribed the company’s articles in 2011.210

The filing names two documents by filename, a balance sheet and an income statement, each named for the company and December 2018 and each timestamped 09/09/2019.10 Neither document stands in this run. The run is a hundred pages and holds the filing at pages 78 to 80. The printout is also short a sheet of itself: its three sheets number themselves in the footer 1 of 4, 2 of 4 and 3 of 4, and the sheet that follows the third is the New York City record, so the printout’s own fourth sheet is not in the run either.1013 The run immediately before it in the Bates sequence is the three-page covering e-mail that transmitted the exhibit, and the run immediately after is an unrelated press alert.2223 Column-scoped phrase searches of the whole release for each of the two filenames return only the filing sheets themselves, in this run and its duplicate; a search for the company’s name together with December 31, 2018 returns eighteen pages across nine documents, every one of them a copy of the Government of the Virgin Islands’ pleading.23 That pleading recites what the December 2018 balance sheet showed. At ¶187 it alleges that Maple’s balance sheet as of December 31, 2018 “did not reflect any assets other than cash of $21,265” and that the company “reported only $300 in expenses for the year ended December 31, 2018, despite it paying”; the words following that phrase are covered by applied black bars.24 So what the record here holds is a party’s pleaded account of what the sheet contained, and not the sheet: whether the two documents exist elsewhere in the release under a phrasing these searches do not reach is not settled here.23

After the death

A printout of the New York City Department of Finance property record for the house, standing on the sheet immediately after the 2019 filing in the same estate exhibit, gives the 2020–2021 tentative assessment roll with a taxable status date of January 5, 2020. The owner name is MAPLE, INC.; the billing name and address is MAPLE, INC.; and under property owners the single entry is MAPLE, INC.13 Five months after Epstein’s death, the city’s roll still ran in the company’s name.13

The exhibit those sheets support is the executors’ verified inventory of the estate, filed in the probate of Epstein’s estate in the Superior Court of the Virgin Islands. Its third page is headed “Corporate Entities Wholly Owned by the Decedent” and lists Maple, Inc. at $56,257,200.00 against voucher 25, among ten entries subtotalling $426,243,669.00.11 A footnote to the entry records that the company holds cash on hand and title to the New York property, and that the real property has for the purposes of the inventory been valued at its most recent tax assessed value, which the footnote gives as $55,861,000.00, with the property to be appraised and the value updated. The figure entered against the company on the schedule is $56,257,200.00.11 The estate’s earlier probate petition and this inventory are compared at Jeffrey Epstein estate.

Named as a defendant

Maple, Inc. is a named defendant in the Government of the Virgin Islands’ action against Epstein’s estate in the Superior Court of the Virgin Islands. The second amended complaint pleads at ¶39 that the company “is a Virgin Islands corporation that was formed and first licensed in or about November 2011” and that as of December 31, 2018 Epstein was listed as President/Director with Indyke and Kahn as Vice President/Secretary/Director and Treasurer/Director.12 Under a heading naming Cypress, Maple and Laurel together, the complaint alleges that the financial statements the three submitted to the Office of the Lieutenant Governor “were false and misleading due to their failure to include the above properties owned by each company or the related expenses incurred by each company, such as property taxes,” and at ¶188 that “in 2017, Maple reported as its only asset cash in the amount of $18,281 and expenses of $150” while paying an amount the complaint blacks out.2526 Those two figures are the figures on the company’s own 2017 balance sheet in the Lieutenant Governor’s file.1426 At ¶189 the complaint alleges that “for the tax years 2011 through 2016, Maple did not include the value of the New York property” in its reported assets, and at ¶194 that “The Annual Reports submitted on behalf of Cypress, Maple, and Laurel all were signed by Epstein and Defendant and Co-Executor Kahn” under the declaration quoted above.27

These are the Government’s pleaded allegations in a civil action and were not adjudicated; the December 2022 settlement of that action, and the estate’s recorded denial of wrongdoing, are set out at Laurel, Inc. Appearing in these documents is not evidence of wrongdoing by any person named on this page.

Maple, Inc. is also among the corporate defendants in the caption of a complaint filed on 17 October 2019 in the Southern District of New York by a plaintiff proceeding as Jane Doe 17 against the joint personal representatives of the estate and eleven entities; the single count that complaint pleads against a corporate defendant is pleaded against a different company, and is set out at Nautilus, Inc.28

What the record here does not show

The documents cited here establish what the company was, what it told the Office of the Lieutenant Governor in each year from 2011 to 2017, who signed those returns, what the office recorded on receiving them, and what it filed in 2019. They do not show who prepared the seven balance sheets or on whose instruction: no preparer’s name and no accountant’s name appears on any of them. They do not show who held the ten thousand shares, or when they were issued; no stock record, no by-laws and no organisational minutes of the corporation are among the documents cited here. They do not show why the 2017 franchise tax report enters twice the figure every earlier year enters, and no penalty or interest line is completed on it. They do not show what the office did with the filings beyond stamping and noting them: nothing cited here records a query, an objection or a further requirement from the Division of Corporations and Trademarks. They do not show whether the two documents named by filename in the 2019 filing were transmitted with it. And they do not show what became of the corporation after February 2020: a column-scoped search of the release for the company’s name together with “dissolution” returned no page.23

The third sheet gives, under signatures, “Ms. Erika KELLERHALS” as “Attorney in Fact” “On Behalf Of” President, against the name Jeffrey EPSTEIN and the date 07/31/2019, and Richard KAHN as Treasurer against the date 07/31/2019, and an income statement row naming a file called Maple ICS Dec 2018, timestamped 09/09/2019; that second filename was read at the image, and the extraction of the sheet renders it too, with two characters inside the year token damaged — which is why the phrase search below reaches this sheet on the two-word fragment and not on the fuller phrase. The 2013 franchise tax report at p.18 and the 2013 annual report at p.19 each carry an impression giving the month June and the day 30, and on neither does the year resolve at 600 dpi; the year in the 2013 row of the table above is read from the balance sheet at p.31. The 2015 date was read at 600 dpi on the balance sheet at p.29: the second digit of the day is crossed there by a ruled line and by the sheet’s own total figure, and the two digits separate cleanly at that resolution; a stamp of the same form on the 2015 franchise tax report at p.14 gives the same year and month with the day partly overprinted. For the year ended 31 December 2014 all three of that year’s sheets were rendered at 600 dpi and read for this note — the franchise tax report at p.16, the annual report at p.17 and the balance sheet at p.30 — and each carries an impression of this form. The impression on p.17 is the clearest of the three: its date line resolves at 600 dpi and again at a fourfold magnification of that line alone, giving the year 2015, the month June and the day 29, the day’s second character carrying a closed bowl and a descender. The impression on p.16 gives the same year and the same month; its day falls under two printed lines and is not resolved here. That sheet carries a manuscript notation in ink as well, which is a different mark from the stamp. The impression on p.30 is faint, and what has taken there was measured rather than judged by eye: across its date line, in the character positions the p.17 impression fixes, pale stamp ink was counted as pixels whose blue channel exceeds red by more than 12 at a luminance between 140 and 245, a test that excludes both the sheet’s own printed figures and the paper. The month position scores 1,497 such pixels, 5.85 per cent of its area, and under a contrast stretch of the red channel those strokes read June; the day position scores none; the year position scores 150, a single stroke fragment and no legible character. The blank interior of the same impression immediately above and immediately below the date line scores none.   18. Same run, the signature blocks of all fourteen returns. Every one of the fourteen sheets was rendered locally at 400 dpi and read, and the two sheets of the 2012 pair again at 600 dpi. On each of the twelve sheets on the newer forms a pen stroke crosses the rule captioned SIGNATURE beneath the caption TREASURER and another crosses the rule captioned SIGNATURE beneath the caption PRESIDENT, above the printed names Richard Kahn and Jeffrey Epstein. Ink colour was measured on each of the twelve sheets in turn: inside each signature’s own window on the rendered sheet, the proportion of dark pixels (mean luminance below 150) carrying a strong blue cast (blue channel exceeding red by more than 45) was counted, against a window of printed body text on the same sheet as control. The control scores 0 to 4 per cent on every sheet. The stroke over the TREASURER caption scores 34 to 85 per cent on all twelve and is blue on all twelve. The stroke over the PRESIDENT caption scores 22 to 55 per cent on eight sheets and is blue on those eight; on the two sheets for tax closing date 12/31/2017 and the two for 12/31/2012 it scores nil and the mean colour of its dark pixels is equal in all three channels to within a fifth of a grey level, so on those four it is a neutral black. The rule captioned DATE beneath each signature carries a manuscript date on the sheets for tax closing dates 12/31/2013 to 12/31/2017 and carries no mark of any kind on either sheet for tax closing date 12/31/2012. The company’s name together with “December 31, 2018” returns 18 pages across 9 documents, all of them copies of the Government of the Virgin Islands’ pleading. The company’s name together with “dissolution”, with “By-Laws”, with “certificate of good standing” and with “Organizational Minutes” each return 0 pages; with “Bylaws” and with “stock certificate” each return 1 page, an estate-office index of folder tabs, which is a list of tab titles and not an instrument.
