The claim this page followsthat the only Securities and Exchange Commission filing of Jeffrey Epstein’s Financial Trust Company was in a company controlled by Leon Black and Apollo3
What the private papers showa November 2012 draft under which Epstein’s company would sell its whole holding in that company, plus interests in two Apollo partnerships, for eighteen million dollars67
Scope of this pagethe ESWW claim and the 2012 transaction papers. It does not cover his Knight Capital whistleblower appeal, his allegations about the Kushner family, or the other hundred-odd documents in the release that carry his name

Christopher J. DiIorio is a securities whistleblower who, in the spring of 2019, wrote repeatedly to the Securities and Exchange Commission’s inspector general about what he called the “Apollo/ Epstein/Kushner connection.” One chain of those messages is in the released Epstein files. In it he makes a narrow, checkable claim: that the only SEC filing ever made by Financial Trust Company, Jeffrey Epstein’s U.S. Virgin Islands corporation, concerns a small Florida company in which, he wrote, Leon Black, Apollo and Black’s family trust had made dozens of filings. He was working from the company’s public filing index, and he gave the link.3

The release also holds the private papers behind that filing, and what they describe is larger than any public filing would show. A November 2012 draft purchase and sale agreement, together with a draft stock power and a draft instruction to a broker, would have transferred Financial Trust Company’s entire stake in Environmental Solutions Worldwide, Inc. to Leon Black or to a Black family partnership, along with Epstein’s company’s forty per cent interest in one Apollo investment vehicle and its 5.834262 per cent interest in another, for a total of $18,000,000.67 None of the three drafts read for this page is signed: on each, the rule above the typed name is empty.8910 An index of Epstein’s own filing cabinets later lists a file of those same instruments under a heading that names the buyer; no signed copy of any of the three is among the documents read for this page.11

This page makes no allegation and records none. Where Mr DiIorio’s words appear below they are his allegations, quoted as such.

The name

The spelling of the surname is itself a difficulty, and the documents resolve it.

In the message headers and in most of the sign-offs the name is set in a sans-serif face in which a capital I and a lowercase L are the same plain vertical bar. Read at the page image, the sign-off on the last sheet of the chain gives “Christopher DiIorio” in that face, and the letter in question cannot be identified from its shape.3 The released text of the header lines renders the name Chris Dilorio, with an L.

One sign-off is different. The message of Thursday, May 2, 2019 at 3:35 PM is signed in a serif face, where the letter carries a dot and is unambiguous, and it reads “Christopher Diiorio (no L’s scumbag).”2 The parenthesis is addressed to his correspondents. A separate page on this site, working from a message of his sent in September 2020, records that the sheet prints his e-mail address with two i’s where an earlier research note had given one.12

So the name has no letter L in it, on the writer’s own correction. This page files him under DiIorio and lists the other forms as aliases, because the sans-serif forms in the release cannot be read either way and a reader searching the files will meet all of them.

What he wrote, April and May 2019

The earliest message in the chain is dated Saturday, April 13, 2019 at 11:30 AM. It opens with an instruction and a link to the SEC’s company filing index:

“Find a shell Find a fraud Enviromental Solutions Worldwide Inc”

The misspelling is the document’s. He then asks three one-word questions about where the company is from, notes it was “De registered in 2015 and Frozen in time”, and goes on:

“Dozens of filings by former Milken (ahem) right hand man Leon Black, Apollo, his family Trust, et al”

and then, after a rhetorical question about whether anyone has ever seen Epstein on the other side of a trade:

“The ONLY SEC filing of Epsteins’ Financial Trust Company Inc is in”

followed on the next two lines by “wait for it” and “Leon Black/Apollo Environmental Solutions Worldwide”, and a link into the company’s filing archive.3

Twelve days later, on Thursday, April 25 at 6:27 AM, he states the conclusion he draws from it:

“ESWW: A money laundering NASDAQ/OTCM shell Milken degenerate Leon Black/Joshua Harris: Apollo AND”

Those three lines close the sheet; the next sheet opens “Jeffrey Epstein”.5 The message of Monday, May 6 at 12:38:47 UTC repeats it in prose, after a link to an SEC enforcement complaint about a pump and dump in the same company’s stock:

“ESWW was a money laundering shell. The SEC knows it. The degenerate Epstein knows it. The Degenerate Leon Black/Kushner BFF/ Milken proteges/Marc Rowan/Apollo knows it. The DOJ/IRS knows it.”1

Those are allegations. The documents below are not.

Between those two messages, on Thursday, May 2 at 3:35 PM, he wrote about something else entirely, addressed to the inspector general: that an anonymous caller had threatened him and then telephoned him “another 11/12 times after that”, which he called a felony and “a blatant attempt to intimidate a whistleblower”, adding “I obviously have hit a nerve.”2 Nothing in the documents read for this page corroborates or contradicts that account, and this page does not resolve it.

The chain also carries his reading of a revolving door between the Commission’s enforcement division and the law firms that appear for Apollo, set out on April 14 as a string of names and links rather than as argument.4 That material is outside this page’s scope.

The company he pointed at

Environmental Solutions Worldwide, Inc. is a Florida corporation. The index of Epstein’s own filing cabinets itemises how Financial Trust Company built its holding, under the heading “FINANCIAL TRUST (FTC) TRANSACTION FILE”. The entries there run: a purchase of nine per cent convertible debentures of the company; correspondence, a subscription agreement, a form of debenture, a capitalisation table, an escrow agreement and registration rights; a wire transfer dated March 19, 2010; a revised capitalisation table of March 5, 2010; a stock certificate for 2,002,959 shares dated March 29, 2010; a notice of mandatory conversion; a share certificate for 175,883 shares dated November 30, 2010; a prospectus for a rights offering of June 30, 2011; a stock certificate of July 14, 2011 for 6,333,333 shares and 2,333,595 shares; a Form 8-K; and, last but one in the list, “13G and Information re Basis for Percentages Used”.13

A 13G is a beneficial-ownership form filed with the Commission. On the index’s own entry, then, Epstein’s company made such a filing about this company, which is the documentary counterpart of the claim in the April 13 message. Whether it was the only SEC filing the company ever made, as the message asserts, no document read for this page establishes.

The November 2012 draft

The purchase and sale agreement in the release is headed, at the top right of its first page, “NOVEMBER 2, 2012 DRAFT”. Its opening words read:

“AGREEMENT, dated as of November ___, 2012, by and between FINANCIAL TRUST COMPANY, INC. a U.S. Virgin Islands corporation having an office at 6100 Red Hook Quarter, B3, St. Thomas, USVI 00802 (“Seller”), and [LEON BLACK OR BLACK FAMILY PARTNERSHIP], a ______ having an office at 9 West 57th Street, 43rd Floor, New York, NY 10019 (“Purchaser”).”

The buyer’s name is in square brackets as an unresolved alternative; the day of the month is a blank rule; and so is the line on which the buyer’s form of organisation would go.6 As of the date on the draft, in other words, it had not been settled whether Leon Black would buy in his own name or through a family partnership.

Three things were being sold. The recitals describe them: 13,350,205 shares of the company’s common stock, par value one tenth of a cent; the seller’s “entire 40% interest as a member of” AP SHL Investors, LLC, a Delaware limited liability company whose managing member the recitals name as John J. Hannan; and the seller’s “entire 5.834262% interest as a member of” AP Technology Partners LLC, another Delaware company, whose managers the recitals list as “Andrew D. Africk, John J. Hannan, Mark J. Rowan, and Michael D. Weiner.”6 The third of those names is printed on the page in that form; the Apollo co-founder is Marc Rowan, and this page does not treat the printed form as a different person or correct the document.

The price is set out in words and figures:

“The purchase price for the Purchased Interests shall be Eighteen Million Dollars ($18,000,000) (the “Purchase Price”), consisting of (i) Seven Million Seven Hundred Ninety Three Thousand Six Hundred and Eight Dollars ($7,793,608) for the ESWW Shares, (ii) Three Million Four Hundred Ninety Six Thousand Four Hundred Twenty Four Dollars ($3,496,424) for the AP SHL Interest, and (iii) Six Million Seven Hundred and Nine Thousand Nine Hundred Sixty Eight Dollars ($6,709,968) for the AP Tech Interest.”7

The three components sum to the stated total. They also show where the weight of the deal lay. The penny-stock holding that the 2019 e-mails were about is the largest single line, but it is less than half the price; the two Apollo partnership interests together account for $10,206,392 of the $18,000,000. The public filings the whistleblower was reading could show the first of those three things. They could not show the other two.

The draft is governed by New York law and section 3.2 has the parties agree not to file tax returns inconsistent with that allocation.714

Who was on which side of the information

One clause repays reading. Section 5.2(d), the no-reliance clause, has the buyer acknowledge that he is not relying on anything the seller or the seller’s agents told him about the companies, and is relying instead on his own investigation and on information “made or furnished to Purchaser by or on behalf of ESWW, AP SHL, AP Tech, ESWW’s officers, directors, employees and agents, the AP SHL Managing Member, and the officers, employees and agents of AP SHL, and the AP Tech Managers”. It closes by having the buyer acknowledge “that it is a sophisticated investor with a long standing business relationship with the Purchased Interests Representatives”, which is the collective term the clause has just defined for that list.15

On its face the drafting puts Apollo’s own principals on the information side of a sale by Epstein’s company to Leon Black, and has the buyer state in the contract that his relationship with them is long standing. Whether that clause survived into the executed instrument, the documents read for this page do not say.

Notices, and who is missing from them

The notice provisions give an address for each side. For the seller: Financial Trust Company, Inc., 6100 Red Hook Quarter, B3, St. Thomas, “Attention: Mr. Jeffrey E. Epstein, President”, and a copy, not constituting notice, to Darren K. Indyke, Esq., of Darren K. Indyke, PLLC, 575 Lexington Avenue, 4th Floor, New York.16

For the buyer: “[BLACK FAMILY PARTNERSHIP]”, care of Apollo Management at 9 West 57th Street, 43rd Floor, “Attention: Mr. Leon Black, [INSERT TITLE]”. Beneath that, where the buyer’s counsel would be named, the draft carries five consecutive placeholders: “[INSERT NAME OF COUNSEL]”, “[INSERT NAME OF FIRM”, “[INSERT ADDRESS OF FIRM]”, “[INSERT FAX OF COUNSEL]” and “[INSERT EMAIL OF COUNSEL]”.14 Epstein’s lawyer is named on the draft. The buyer’s is not yet identified on it.

The signature page is unexecuted. Under “SELLER:” it gives “FINANCIAL TRUST COMPANY, INC.” and a blank rule over the typed words “Jeffrey E. Epstein / President”. Under “PURCHASER:” it gives “[BLACK FAMILY PARTNERSHIP]” in bold brackets and a blank rule over “Leon Black / [TITLE OF SIGNATORY]”.8

How the shares were to move

The agreement splits the stock into two parcels, and two further drafts in the release handle them separately.

The first is an irrevocable stock power. It would transfer 13,198,711 shares from Financial Trust Company to “[BLACK FAMILY PARTNERSHIP]”, again with the buyer’s form of organisation and taxpayer number left on blank rules, and it lists the five certificates making up the parcel: certificate 3815 for 2,352,941 shares, 4145 for 2,002,959, 4195 for 175,883, 4225 for 6,333,333 and 4226 for 2,333,595. The five add to 13,198,711 exactly. The instrument appoints Bay City Transfer Agency & Registrar as attorney-in-fact to make the transfer on the company’s books and is to be effective as of a day of November 2012 left blank. Its second sheet carries a Virgin Islands notarial acknowledgement reciting that Epstein appeared before the notary and acknowledged executing it as president of the company, under the date “Dated: November __, 2012”. The rule for his signature, the rule for the witness and the rule for the notary are all empty.9

Four of those five certificates match, share for share, the certificates listed in Epstein’s filing-cabinet index as having been issued to Financial Trust Company in 2010 and 2011. The fifth, certificate 3815 for 2,352,941 shares, has no matching certificate entry on that sheet of the index, which does list a “Notice of Mandatory Conversion” among the debenture papers.139 This page draws no conclusion from that.

The second parcel is the balance, 151,494 shares, which were not certificated but held in a brokerage account. A one-page memorandum on Financial Trust Company’s letterhead, from “Jeffrey E. Epstein, President” to a named officer at JP Morgan and dated “November ___, 2012”, directs that they be moved “through DTC, free delivery” to an account of “[BLACK FAMILY PARTNERSHIP]” at “[INSERT BROKERAGE NAME]”. Four fields are set out beneath that sentence, for the brokerage name, the account number, the account name and the DTC number, and all four are empty. So is the rule above the typed “Jeffrey E. Epstein, President”.10

13,198,711 plus 151,494 is 13,350,205, the figure in the agreement’s first recital.

That the interests were real: the 2012 tax form

The second of the three things being sold is corroborated by a tax document rather than by a contract. A 2012 Schedule K-1 for AP SHL Investors, LLC, care of Apollo Management, LP, at Purchase, New York, names “FINANCIAL TRUST COMPANY” of St. Thomas as a partner, gives “CORPORATION” in answer to the form’s question about the type of entity the partner is, and reports a capital account that begins the year at $54,731, decreases by $13,867 and ends at $40,864. A supporting schedule heads the same figures “SCH K-1 SUPPORTING SCHEDULES PARTNER 4”.17 The form is for calendar year 2012, which is the year the draft is dated.

What the file index says happened

The clearest statement that the transaction was completed is an index, not an instrument. Among the inventories of Epstein’s filing cabinets in the release, one sheet carries the underlined heading:

“PURCHASE & SALE BY BLACK FAMILY PARTNERS, LP FROM FINANCIAL TRUST COMPANY, INC. OF INTERESTS IN ENVIRONMENTAL SOLUTIONS WORLDWIDE, INC, AP SHL INVESTORS, LLC & AP TECHNOLOGY PARTNERS LLC”

and lists beneath it, as the contents of that file: a Purchase & Sale Agreement; a “Schedule 3.2-Allocation Schedule”; a consent by the managing member of AP SHL and a consent by the manager of AP Tech; assignment and assumption agreements for the membership interests in each; member signature pages for each limited liability company agreement; “Irrevocable Stock Power for 13,198,711 Shares of ESWW Common Stock”; “Irrevocable Stock Transfer Instruction for 151,494 Shares of ESWW Common Stock”; copies of the stock certificates with stock powers signed in blank; a “Notice of Wire Transfer Instructions to Eileen Alexanderson”; and old backup documentation.11

The index names the buyer that the draft left in brackets: Black Family Partners, LP. It names the same two parcels of shares, to the share, as the two draft instruments. And it lists one item the November 2 draft does not contain. The draft allocates the price in the body of section 3.1 and refers to no schedule; the completed file holds a separate “Schedule 3.2-Allocation Schedule”.711 The papers in that file were therefore not identical to the draft in the release.

An index records that documents of those descriptions existed under that heading. It does not reproduce them, and no signed counterpart of any of the three drafts is among the documents read for this page.

On Leon Black’s books, April 2014

A year and a half later the three interests appear on the other side. A global balance sheet headed “BLACK FAMILY GROUP / LOOK THROUGH - ALL ENTITIES”, dated April 30, 2014, carries under “PRIVATE EQUITY/ DEBT & RESTRICTED STOCK” a line reading “ENVIRONMENTAL SOLUTIONS WORLDWIDE (ESWW) - $75.00”, valued at $2,075,700 and annotated “Closing price”; lower on the same sheet, “ENVIRONMENTAL SOLUTIONS WORLDWIDE CONVERTIBLE NOTE” at $2,941,093, annotated “Cost plus interest”. Under “INVESTMENT PARTNERSHIPS” on the same sheet, among sixteen holdings, are “AP TECHNOLOGY PARTNERS LLC” at $88,175 and “AP SHL INVESTORS LLC” at $40,865, each annotated “2012 K-1 (Tax) +/- cash”.18

All three of the interests the November 2012 draft would have transferred are on the Black family’s own consolidated statement in April 2014, and the two partnership interests are carried there off the same year’s tax form that names Epstein’s company as a partner. The “$75.00” printed on the first of those lines is reproduced above as it appears and is not interpreted here.

One of those two figures is worth setting beside the tax form. The Schedule K-1 for AP SHL Investors, LLC naming Financial Trust Company as a partner closes that partner’s 2012 capital account at $40,864.17 The Black family statement of April 30, 2014 carries AP SHL Investors LLC at $40,865, annotated as taken from the 2012 Schedule K-1 adjusted for cash.18 The two figures are one dollar apart. This page does not assert that they are the same interest, and no document read for it says so. It records that the sequence raises the question.

What these documents do not say

They do not say when, or whether, the sale closed, or on what date money moved. They do not say what the shares were worth when Financial Trust Company bought them, so no gain or loss is computed on this page. They do not establish that the company was “a money laundering shell”, which is Mr DiIorio’s allegation and is quoted above as his. They do not show who received his messages: the recipient lines on the sheets read for this page are covered, and nothing is supplied into them here. And they do not show that anyone at the Commission answered him.

What they do show is narrower and firmer. A man writing to the SEC in April 2019 inferred, from a public company’s filing index, that Epstein’s private trust company and Leon Black’s Apollo had been on opposite sides of a transaction in an obscure penny stock. The private papers in the release show a transaction of that shape, drafted in November 2012, in which the penny stock was the smaller part of an eighteen-million-dollar package whose other half was two Apollo partnership interests that no public filing would have revealed.

Sheets read for this page

Of the seven documents cited below, six were read in full: the April to May 2019 e-mail chain (ten sheets), the purchase and sale agreement (seventeen), the irrevocable stock power (two), the broker instruction (one), the Schedule K-1 (two) and the Black family balance sheet (six). Of the twenty-six-sheet filing-cabinet index, this page read three sheets and did not read the other twenty-three.

Thirteen sheets were read at the page image, at ninety-six dots per inch, which is the scans’ own resolution: pages 2, 4, 5, 8 and 10 of the e-mail chain; pages 1, 2 and 11 of the agreement; both pages of the stock power; the broker instruction; page 5 of the filing-cabinet index; and page 4 of the balance sheet. Every quotation above was checked against the image except those from the Schedule K-1, the notice provisions of the agreement, its no-reliance clause, the April 14 message, the header sheet of the May 2 message, the sign-off sheet of the May 6 message, the middle sheet of the April 13 message and the transaction-file sheet of the index, all of which are read from the released text alone and are so marked in their footnotes.

This page did not read the release’s other documents carrying his name, among them a 122-sheet run of forwarded correspondence, and makes no statement about their contents. It does not cover any document whose subject is a complainant or a survivor.
