Zorro Development Corp. was the Delaware corporation through which Jeffrey Epstein’s New Mexico ranch was paid for and run. It was incorporated in March 1993, in the same weeks as the ranch purchase, and qualified to do business in New Mexico that May.13 Epstein’s office recorded it as the entity that “[p]ays all operating expenses and cap improve” for the property, and two banks in turn held its accounts and described its purpose in those terms.8189 Title to the land was held elsewhere. Epstein’s office schedule enters the Zorro Trust as holding title to the property, and a special warranty deed recorded in Santa Fe County on 21 December 2011 grants the Santa Fe County real estate from the Zorro Trust to Cypress, Inc.819 The property itself is the subject of Zorro Ranch.

Four Zorro names, and this page is about one of them

The release uses four similar names, and a document that says one of them does not support a statement about another.

The Zorro Trust held title to the Santa Fe County land, the state leases and the water rights from 1993 to December 2011; Zorro Ranch, LLC is entered on Epstein’s office schedule as a single-member New Mexico LLC “formed 12-27-2002 to hold title but was never used”; Zorro Development Corp., the subject of this page, is entered on the same schedule as an S corporation that pays the operating expenses.8 A fourth name belongs to a company the release shows being formed in 2016: an operating agreement made as of 14 December 2016 records Epstein as sole member and recites that he “hereby forms ZORRO MANAGEMENT, LLC, a U.S. Virgin Islands limited liability company”, organised by the filing of articles of organization with the Office of the Lieutenant Governor on the same date.20 Deutsche Bank’s 2019 exhibit lists Zorro Management, LLC accounts on the same sheet as this company’s and beside it, under separate rows: the first of them, a checking account, carries a date opened of 4/25/2014, two years and eight months before the December 2016 date the operating agreement recites, and the second a date opened of 3/13/2017. This page reports that difference and does not resolve it.209

Incorporation and registration

The certificate of incorporation is in the release inside a Deutsche Bank account-opening file, behind a Delaware Secretary of State certification which recites that the attached is a true and correct copy of the certificate of incorporation of “ZORRO DEVELOPMENT CORP.” “FILED IN THIS OFFICE ON THE SEVENTEENTH DAY OF MARCH” 1993 “AT 9 O’CLOCK A.M.”; the certification is dated 18 March 1993 over the printed name of Secretary of State William T. Quillen, with a pen signature across the rule above that name and the state’s printed seal beside it.1

The instrument itself is four pages. Article FIRST gives the name; article SECOND provides that “the name of the registered agent of the corporation in the State of Delaware is The Prentice-Hall Corporation System, Inc.” at 32 Loockerman Square, Suite L-100, Dover, County of Kent; article THIRD gives the purpose as “to engage in any lawful act or activity for which corporations may be organized under the General Corporation Law of the State of Delaware”; and article FOURTH provides that “[t]he total number of shares of stock which the corporation shall have authority to issue is Three Thousand (3,000). The par value of each of such shares is One Mil ($.001).”2 Article SIXTH provides that “[t]he corporation is to have perpetual existence.”21 Article FIFTH gives the incorporator’s name and a mailing address at the same Dover, Delaware suite as the registered agent’s.21 The last page carries the words “Signed on March 17, 1993.” above a rule crossed by a pen stroke and captioned with that same printed name and the word Incorporator.22

The sixth and last sheet of the same run is a letter of 24 May 1993 from the State of New Mexico State Corporation Commission, Corporation Department, Santa Fe, to Hinkle, Cox, Eaton, Coffield and Hensley, Attorneys at Law, Albuquerque, under the reference line “RE: ZORRO DEVELOPMENT CORP.” with a commission file number beneath it. It states that the commission “HAS APPROVED AND FILED THE APPLICATION FOR CERTIFICATE OF AUTHORITY”, “EFFECTIVE MAY 21, 1993”, and that “THE ATTACHED CERTIFICATE OF AUTHORITY SHOULD BECOME A PERMANENT DOCUMENT OF THE CORPORATION’S CORPORATE RECORDS.” The letter does not stop there. Under the heading “REQUIRED FILING INFORMATION, WITH THE COMMISSION, FOLLOWS:” it states that “THE ENCLOSED FIRST REPORT IS TO BE COMPLETED AND FILED BY JUNE 23, 1993, WITH A FILING FEE OF $20.00.”; that “THEREAFTER, A CORPORATE REPORT MUST BE FILED BIENNIALLY ON OR BEFORE THE FIFTEENTH DAY OF THE THIRD MONTH FOLLOWING THE CORPORATION’S TAXABLE YEAR END.”; that a “LATE FILING PENALTY OF $100.00 WILL BE ADDED FOR UNTIMELY FILING OF ANY REPORT.”; and that the report is required to be filed “WHETHER A CORPORATION IS ACTIVE OR INACTIVE OR UNTIL SUCH TIME THAT THE CORPORATION IS RELIEVED FROM FILING THE REPORT AS REQUIRED BY LAW.” The letter further requires a supplemental report within thirty days of any change affecting a corporate report already filed.3 The certificate of authority the letter says was attached is not in this run, which ends with the letter.3

A commercial public-records printout dated 14 May 2007, headed “LITIGATION PREPARATION RECORDS” and sourced “AS REPORTED BY THE SECRETARY OF STATE OR OTHER OFFICIAL SOURCE”, gives the company’s “State of Incorporation:DELAWARE”, “Duration:PERPETUAL” and “Status:ACTIVE”, and gives the office where the record was filed as the New Mexico Public Regulation Commission; it also enters “Filing Date:05/21/1993” and “Date Incorporated:05/21/1993”.6 That second date is the date the New Mexico certificate of authority took effect on the commission’s own letter, two months after the Delaware filing date certified by the Delaware Secretary of State.31 This page reports the difference and does not resolve it. The same printout enters Jeffrey Epstein against the title President and Darren Indyke against the title Secretary.6

That printout is in the release twice, in two compilations, and the two copies do not carry the same black bars. A state registration number and the registered agent’s corporate name are each covered on one copy and readable on the other; a company mailing-address line is covered on both copies, in part on one and in whole on the other. None of those three is a class this page withholds, and none of them is reproduced from either printout: the registered agent’s name is given above from the 1993 certificate of incorporation instead.6232

Epstein’s estate office kept a file for the company. A typed index of file contents lists, under the heading “Zorro Development Corp. Organizational File”, two numbered items: “Certificate of Incorporation” and “SS-4”.24 The heading immediately below it on the same sheet is the Zorro Ranch, LLC organisational file, whose numbering begins at 10 and which carries the bold parenthesis about folders being missing; the two-item list under this company’s heading is numbered from 1.24

Shares, bylaws and the 2014 sequence

A stock certificate for the company is in the release. It is a printed blank of the kind sold for the purpose, bearing the words “INCORPORATED UNDER THE LAWS OF THE STATE OF DELAWARE” and, beneath the company’s name, a printed total authorised issue of three thousand shares at $.001 par. The certificate is numbered 1 in the printed box at the upper left; the shares box at the upper right, the owner’s name, the number of shares in words and the date are each completed by hand, the owner entered as Jeffrey Epstein, the figure as one hundred, and the date as of 1 April 1993. A pen stroke crosses each of the two rules at the foot, captioned SECRETARY/TREASURER and PRESIDENT.4

Deutsche Bank’s account-opening record of May 2014 states the same holding in the bank’s words, three times over on one sheet: “Zorro is able to issue 3000 shares. Currently there are only 100 shares issued. All owned by Jeffrey Epstein” appears against the field asking for the entity’s ownership structure, against the field asking how ownership is reflected, and against the field asking for the chain to the ultimate beneficial owner.5

Three documents fall in a single week of April 2014. On 22 April 2014 the Delaware Secretary of State certified that the company “IS DULY INCORPORATED UNDER THE LAWS OF THE STATE OF DELAWARE AND IS IN GOOD STANDING AND HAS A LEGAL CORPORATE EXISTENCE SO FAR AS THE RECORDS OF THIS OFFICE SHOW”, and further certified “THAT THE FRANCHISE TAXES HAVE BEEN PAID TO DATE” and “THAT THE ANNUAL REPORTS HAVE BEEN FILED TO DATE”; the sheet carries a pen signature above the Secretary’s printed name and the state’s printed seal.25 The next day, 23 April 2014, “AMENDED AND RESTATED BYLAWS OF Zorro Development Corp. A Delaware Corporation” were, in the words of the last page, “APPROVED AND ADOPTED this 23rd day of April, 2014”, and a certificate of secretary on the same page certifies “that the foregoing Amended and Restated Bylaws, consisting of 9 pages, constitute the code of Bylaws of the Corporation, as duly adopted by the written consent of the sole director of the Corporation”.7 Two pen signatures stand on that page, each above a rule captioned “Secretary”.7 Article II of the bylaws provides that “[a]nnual meetings of the stockholders, commencing with the year 1994, shall be held on the 15th day of December each year”, wording carried forward from an earlier code the bylaws replace and which this page did not find.26 Five days later, on 28 April 2014, two Deutsche Bank accounts in the company’s name were opened, or intended to be.13

What the office recorded it as doing

Epstein’s office kept a schedule of his entities by state. On both versions of it in the release the company stands under the heading NEW MEXICO, entered as an “S-Corp”, with “N/A” in the State column, a 31 December year end, ownership “JE”, and the note “Pays all operating expenses and cap improve”.827 The later version adds two columns whose printed headings, read at the image, give an extension-due date and a due-with-extension date, and it enters 15-Mar and 15-Sep for this company against 15-Apr and 15-Oct for the Zorro Trust on the row below; on that later version the New Mexico block also carries Cypress, Inc., noted as holding title for the New Mexico property.27 The office schedule’s “N/A” in the State column is not what the Delaware and New Mexico certificates say, and this page reports that difference without resolving it.813

The federal filing matches the office’s classification. An IRS Form 8879-S for the 2013 tax year (“IRS e-file Signature Authorization for Form 1120S”, the S-corporation return) is in the release in the name of “ZORRO DEVELOPMENT CORPORATION”. Its Part I reports 200 against line 3, ordinary business income (loss), and 200 against line 5, income (loss) reconciliation; the lines for gross receipts, gross profit and net rental real estate income carry no entry. In Part II the first of the two officer’s-PIN boxes carries a typed X and authorises “MARKS PANETH LLP”, entered on the ERO firm-name rule, to enter the officer’s PIN; the second box is empty. The rules for the officer’s signature and date, and for the ERO’s signature and date, are blank at 600 dpi, and the title rule carries the typed word “PRESIDENT”. Identification and personal identification numbers on that page are covered by black bars and are not reproduced here.10

The company ran a payroll. An office spreadsheet headed “JEE 2014 Payroll & Benefits Analysis per entity” ranks ten entities by cost and enters this company eighth, with 6 employees, 6 per cent of the total and a total of 384,223.28 A separate office sheet headed “Zorro Development Corp. Employee Salaries” carries year columns from 2009 to 2017 with salary, bonus, payroll-tax and health-and-life lines and dated annotations; no individual named on that sheet is identified here and no figure from it is reproduced.29

Deutsche Bank, 2014 to 2019

Deutsche Bank’s global know-your-customer record for the account opening is a printed sheet from the bank’s own system, case status “6. Approved”, printed 29 May 2014. It lists the relationship as “SOUTHERN FINANCIAL RELATIONSHIP”, the booking centre as New York, and the relationship manager as Paul Morris; under the accounts table it enters “Zorro Development Corp” and “Zorro Development Corp — Money Market”, each with an opening date of 4/28/2014, and gives the primary contact for the relationship manager as Darren Indyke, whose preferred contact detail is covered by a black bar.13

The bank recorded a purpose for each account. For the first: a checking account for the day-to-day expenses associated with running the ranch in New Mexico that the company owns, with “Roughly 10-30 inflows and outflows per month ranging from $1000 to $10,000” and expected balances of 100000 and 150000 US dollars at ninety days and a year.18 For the second: a money market account for the same expenses, of which the form adds “This account will hold extra funds and earn interest”, with roughly one to three movements a month in the same range.30 On the parties table for each account the company is ticked as legal entity and account holder, Darren Indyke as signatory or full power of attorney, and Jeffrey Epstein as ultimate beneficial owner and as signatory or full power of attorney; the table’s own printed column headings, read at the image, include one for a settlor of a trust or founder of a foundation, and that column stands unticked on both sheets.1830

The legal-entity sheet of the same record enters the type of entity as Company and the purpose of entity as Private Investment, the country of incorporation or registration as USA, the date of incorporation or registration as 3/17/1993, which is the Delaware filing date, and the address as 6100 Red Hook Quarter, B3, St. Thomas. Against the field asking for the nature of the business it enters: “Zorro Development is a real estate holding company. It is a company formed to run and operate all activities associated with a property that Jeffrey Epstein owns in New Mexico”. Against number of employees it enters 1. Against evidence of corporate assets it enters “This company is funded by Jeffrey Epstein’s personal wealth”, with estimated investable assets of “$1 MM - 2 MM” and a potential amount to be invested of 300,000.00. Identification numbers on that page are not reproduced here.5 The office’s own payroll analysis for the same year enters six employees for the company.28 This page reports the two figures and does not reconcile them.

The company was on the bank’s high-risk client list. A message from the head of anti-money-laundering business risk at Deutsche Bank Wealth Management to a managing director opens: “As you know, our procedures require MDs to approve all ACUs completed for High Risk clients each month. Please review the below ACUs completed and approve them.” The table that follows carries ten printed column headings, read at the image: an annual-client-update identifier, a customer number, a customer owner, a managing director, the customer name, the date the annual client update was created, a column lettered A14, a client-status-update description lettered A15, and two further columns lettered only A16 and A17. Its row for this company gives a created date of 9/29/2016 and “no material change” in both description columns, and Yes and No in the two lettered columns whose headings the sheet does not expand.3132 The same table is in the release in more than one copy, and the copies do not carry the same black bars. Two were read at the image and no customer reference number from either is reproduced here.3233

An internal bank message about the same programme records a defect in the bank’s own system: “the code in dbforce exempting high risk clients with only deposit accounts under $250K from the ACU when it should not be — the code will be fixed ASAP, but in the meanwhile, while the ACUs listed below don’t appear as overdue, they must be completed by year end.” This company is one of eleven clients listed beneath, all of them entered under the same relationship name and the same primary officer, and the table’s “ACU Completed Date” column carries no entry on any row.34

The bank described the account to prosecutors after Epstein’s death. A spiral-bound presentation headed “DEUTSCHE BANK PRESENTATION TO THE OFFICE OF THE UNITED STATES ATTORNEY FOR THE SOUTHERN DISTRICT OF NEW YORK”, dated 12 September 2019, contains an exhibit headed “Nature and Purpose of Active / Capitalized Southern Financial Relationship Accounts”. On the sheet carrying this company’s row, the label in the “Nature of Account Holder” column for the group is printed as “Property Management”; the row gives account type Checking, a date opened of 4/25/2014, and, under “KYC Purpose”, “Checking account for the day-to-day expenses associated with running the ranch in New Mexico that Zorro owns.” The account-number column is covered by a black bar down the whole length of the table and no account number is reproduced here.9 That exhibit gives one account for the company where the bank’s own 2014 record gives two, and gives a date opened three days earlier than the date the 2014 record enters.913 A later exhibit in the same presentation gives, for the company’s checking account, Jeffrey Epstein under the heading for grantor or ultimate beneficial owner, Jeffrey Epstein and Darren Indyke under the heading for signatory or legal representative, and “N/A” under the heading for beneficiary or limited power of attorney; the account-number column is again barred.35

The compliance question of April 2016

On Friday 22 April 2016 at 16:08 Eastern Daylight Time, Deutsche Bank’s private-wealth AML compliance mailbox wrote to the relationship manager about two wires out of an Epstein account, one of $300,000 on 11 February 2016 to LSJE, LLC at FirstBank Puerto Rico and one of $150,000 on 19 February 2016 to Zorro Development Corporation. The message states that “the PRIME system is used to automatically identify transactions that meet certain high risk transaction patterns”, that in a small proportion of cases compliance must contact the wealth adviser, and that “Your complete response must be received within 7 business days.” It puts three questions: “Who are the beneficiaries of the outgoing wires?”, what the purpose of the transactions is, and whether further transactions to the same beneficiaries are expected.36

On Monday 25 April at 12:46 the relationship manager forwarded it to a colleague with the line: “Can you kindly call Bella for details and reply, I know Zorro is a home so likely property costs/expenses”.37 At 13:22 that colleague put the same three questions to Bella Klein in Epstein’s office, copied to Richard Kahn and the relationship manager, adding that the bank’s “internal systems picked up a couple of wires that are considered ‘high risk’ because of the country of destination of the funds.”38 At 14:49 the same colleague answered compliance: “Jeffrey Epstein is the beneficiary of these wires”; “LSJE, LLC and Zorro Development Corp are both entities to fund the operating costs of 2 of Mr. Epstein’s homes. The proceeds of these transactions were used to pay for operating expenses of the properties”; and, to the third question, “Yes.”39 Compliance replied the next afternoon: “Thank you very much for your quick response. Much appreciated!”40 The times above are Eastern Daylight Time, taken from the RFC date headers of the copies carrying them, which read −0400 and match the clock times on the exported copies of the same messages.3639

Money in

Instructions to move money to the company went to JPMorgan in writing, on Jeffrey E. Epstein letterhead. Each of the three memoranda cited here asks the bank to wire a sum; none of them records that a wire was sent, received or credited. A memorandum on Jeffrey E. Epstein letterhead dated 21 April 2008, faxed to JPMorgan, reads “Please wire Fifty Thousand ($50,000) from the above account to:”, gives the receiving institution as Wells Fargo Bank at a San Francisco street address, and enters “For credit to: Zorro Development Corporation” above an account rule. On the photographed copy the debit account number, the receiving bank’s ABA number and the beneficiary account number are each covered by a black bar, and a pen stroke stands beside the printed sender’s name.12 Memoranda in the same form and to the same beneficiary are in the release for other dates and amounts, among them one of 17 July 2008 for $50,000 and one of 12 January 2009 for $100,000, each on the same letterhead and each with a pen signature beside the printed sender’s name; no count of them is given here.4142

That memorandum is in the release twice, and the copies differ. One is a photograph of the faxed sheet; the other is a reconstruction: uniform monospaced type on a clean white field, with no pen ink, no paper grain and no scan skew, and with the redactions applied as exact rectangles. The two do not carry the same black bars. The reconstruction also reorders the sheet, putting the letterhead at the foot, and it drops the memorandum’s To and From lines, which the photograph carries. Both sheets carry two transmission lines, a fax header and a transmission-identification line, but they do not sit in the same places: on the photograph the fax header stands at the head of the sheet and the identification line at the foot, while on the reconstruction the two stand together in the body of the sheet, the identification line above the fax header. The reconstruction’s fax header also gives a clock two minutes later than the photograph’s, a different page marker, and the sending company rendered differently. Everything stated above is read from the photograph.1243

JPMorgan also carried the company as a card client. An internal chain of 25 February 2013 within JPMorgan’s private bank, about a request to increase a credit line for Epstein, sets out a list of personal and business card accounts with the credit limit and balance of each and the last four digits of each account number; one line gives a limit of $70k and a balance of $6,211.16 against the business name Zorro Development Corp. The account digits are covered by a black bar down the list. The extraction of that sheet is heavily degraded and nothing above is quoted from it; the figures and the business name were read at the image.11

Deutsche Bank’s records carry one movement of money that did not complete. On 10 June 2016 a bank vice-president wrote to Epstein’s office: “A wire in the amount of $42,455.00 was returned and credited to the Zorro Development account. The funds were sent via online banking. The receiving bank was unable to credit as the inputted account number was invalid. They deducted $45.00 for the return.” In the internal exchange on the same chain a director asked “If we can credit the fee, let’s do that,” and was told: “Unfortunately we cannot as it’s from the other side. Furthermore, it’s their fault.”4445

A bank check-exception record in the release names the company. Its sheet does not print the values beside the labels. It prints, in order, eight label lines, then six value lines; then one line carrying a label and its value together; then a further label line; then a second line carrying a label and its value together; then five label lines, then four value lines. Except on those two lines, the mapping of any value to any label is inference from order and is not printed on the page. The labels include “Exception Type”, “Account Name”, “Account Message”, “Previous Decision” and “Previous Reason”; the values include “High dollar pull”, “Zorro Development Corp”, “Signature Irregular”, an amount of 5,400.55 and a cheque number; and the two lines carrying both read “Account Message 1 Signature Required” and “Previous Decision Refer”. Account and routing numbers on that page are not reproduced here.46

Money out

The company paid New Mexico suppliers by cheque on its Deutsche Bank account. A run of cheque images in the release carries cheques drawn by “ZORRO DEVELOPMENT CORP.” on Deutsche Bank Trust Company Americas, New York, with the drawer’s street line covered by a black bar above a printed “ST. THOMAS, USVI 00802”. Three read at the image are dated in June 2016: one of 29 June for $321.00 to RMC Electric Company of Albuquerque, with an invoice number in the memo line; one of 21 June for $1,441.31 to Molzen-Corbin of Albuquerque, memo “Invoice # 14357”; and one of 6 June for $859.41 to Horizon Mechanical Systems of Moriarty, New Mexico, memo “Invoice # 2044 & 2045”. Each carries a pen signature over the rule captioned AUTHORIZED SIGNATURE, and on each the magnetic-ink line at the foot is covered by a black bar.151617

The company contracted for the ranch in its own name. An undated tw telecom “Internet Service Order Form” names “Zorro Development” as customer for a 36-month term, with a service address at Bldg 75 D Sandia Crest, Albuquerque, and a billing address at 49 Zorro Ranch Road, Stanley; the priced lines are a T_1 internet transport at $148.00 a month and 1.5 Mbps internet access at $220.00 a month, and the grand-total block gives monthly recurring charges of $368.00 and non-recurring charges of $760.24. Those two figures were read at the image at 400 dpi and are the sums of the priced lines; the extraction of the page renders the monthly figure differently and is not relied on. On the customer side of the signature block the signature, print-name, title and date rules are all blank; on the vendor side the printed name, title and sales-person rules carry machine type and the signature and date rules are blank. Beneath, the standard terms and conditions describe the customer as a New Mexico corporation.47

Smaller purchases went through a form on the company’s own printed letterhead, which carries the company name in a display face over the ranch’s street address at Stanley, New Mexico. One dated 8/11/09 requests a “40 ft Wooden Flag Pole”, giving as its purpose “To replace Flag Pole that blew down and cracked in half during a wind storm (12 years old)”, naming the supplier, entering a purchase price of $7,300.00, ground shipping of $1,311.00 and a total expected cost of $8,611.00, marking a deposit as required at 50 per cent, $4,305.50, and marking the payment method as the requester’s credit card. Against “Competitive Quotes Obtained?” it enters, on the “If No, why not?” line, “this company provided the original Flagpole, hence use existing mounting”. The requester’s name, one contact line and two entries in the signature block are covered by black bars and are not reproduced here.14

The company’s electronic mail carried a footer of the same kind: an ordinary ranch message ends with a block giving the company’s name and the 49 Zorro Ranch Road address, then a line reading “Ranch Manager”, then contact rules. Contact details on that page are not reproduced here. Who worked at the ranch and what they did is on Zorro Ranch and is not repeated here.48

What the record here does not show

These documents establish when the company was incorporated and where, who its registered agent was, what its authorised and issued capital was and in whose name, who its officers were on a 2007 corporate record, what its bylaws provided from April 2014, how Epstein’s office classified it for tax and function, what two banks recorded about the purpose of its accounts, what questions one of those banks asked about a payment to it and what answer it received, and what it paid for in New Mexico.

They do not show what became of the company. These are the searches this page ran, in the words it ran them. The phrase “Zorro Development” together with “dissolution” and together with “dissolved” each return nothing in the release; together with “dissolve” it returns one page, an undated internal memorandum of Epstein’s office about its accountants, which asks under the heading “Entities to dissolve?” about six entities and does not name this company among them, and which on the same sheet asks whether the New Mexico property taxes should be paid by “Zorro Development (operating co) or Cypress (title)”.49

Two of those searches were run in the singular and the singular was the wrong form. “Zorro Development” together with “annual report” returns nothing and together with “annual reports” returns the company’s own certificate of good standing, quoted above, on which the Delaware Secretary of State certified in April 2014 “THAT THE ANNUAL REPORTS HAVE BEEN FILED TO DATE”; “Zorro Development” together with “franchise tax” returns two pages, two versions of the estate-office file index, where those words belong to the Zorro Ranch, LLC heading and not to this company’s, and together with “franchise taxes” it returns the same certificate, which also certifies “THAT THE FRANCHISE TAXES HAVE BEEN PAID TO DATE”.2524 The release is therefore not silent on this company’s annual reports or its franchise taxes to April 2014, and the New Mexico commission’s 1993 letter, quoted above, sets out the biennial corporate report the commission required of it.3 No such report is among the documents cited on this page. On both versions of the estate office’s index, read at the image, the two items listed under this company’s organisational-file heading are a certificate of incorporation and an SS-4, and neither version lists an annual report, a franchise tax report or a corporate report under that heading.24

“Zorro Development” together with “stock certificate” returns nothing and together with “stock certificates” returns five pages, all of them a Jeffrey E. Epstein balance sheet as of 31 December 2004. One of the five was read at the image: it carries a printed securities line for stock certificates held and, separately and lower down, a printed line for this company under investment in private companies, and neither line is about the company’s own certificate. The other four were not opened.50 That null is a fact about the phrase and not about the record: the company’s stock certificate is in the release and is described above, and the words “stock certificate” do not appear on it. The runs immediately before and after the certificate of incorporation in the Deutsche Bank file are a due-diligence search report on this company and a Deutsche Bank power-of-attorney form; the run immediately after the bylaws in the other Deutsche Bank file is the articles of incorporation of a different Epstein company. Whether an instrument recording the company’s dissolution or the disposal of its shares is somewhere in the release under wording none of these searches or those adjacent runs reaches is not settled by this page.

They do not show the terms of the bylaws the April 2014 code replaced, or when the earlier code was adopted; the certificate of secretary describes the 2014 code as amended and restated and the annual-meeting article dates the series from 1994, and this page did not find the earlier instrument. They do not settle who the sole director was in 2014. The certificate of secretary refers to “the sole director of the Corporation” without naming anyone, while page 4 of 4 of the commercial corporate record cited here, read at the image on both copies of it, lists a third principal, Jeffrey Epstein, against the title Director. That record is a 2007 printout, and nothing read for this page establishes that the person it names as a director then is the sole director the 2014 certificate refers to. They do not explain why the office schedule enters “N/A” as the company’s state, why a commercial record dates its incorporation to the New Mexico certificate-of-authority date, why a vendor’s contract describes it as a New Mexico corporation, why the bank’s 2014 record and its 2019 exhibit differ on the number of accounts and the date they opened, or why the bank’s 2014 record enters one employee where the office’s own analysis for the same year enters six. Appearing in these documents is not evidence of wrongdoing by any person named on this page.
