This version incorporates all of the Winston & Strawn comments that Peter, Barry, and Geoff Eaton and I discussed on the phone last week and those that were subsequently provided to me in writing by Geoff. The only major substantive deletion from the prior draft is the section on Net Investment Income Tax (which has been deleted in its entirety as unneeded) and the only major substantive addition is the provision on Series LLCs (which is based on the Delaware law on this subject). Also attached is a red line against version 9 which reflects these changes as well as some other more minor corrections that have been made. Also attached is a revised version of the Governor's cover letter (version 3) and a redline comparing it to the prior circulated version (version 1). Due to the changes in the bill, and per our discussions, there were quite a number of changes in this document. Please review these two documents and provide me with any final comments. In my view, there should be no need for any further changes in the legislation itself prior to pass
