Deutsche Bank • To monitor and control the submission of periodic regional Reputational Risk reports to the Delegating Person • To monitor and control the complete confirmations of the issues approved by the Committee (ex post) • To monitor and control any changes which are brought to the attention of the Committee in the key terms and conditions of issues (e.g. trades, transactions) subsequent to its approval or any other updated / new information • To monitor and control the satisfaction of all outstanding matters / requirements upon which the decision is conditioned subsequent to the Committee decision and to act accordingly if the matters / conditions were not satisfied 1.3 Delegation of authority to sub-committees and individuals The Committee may delegate a sub-set of its tasks and responsibilities to sub- committees or individual position holders. Currently, the Committee does not delegate any responsibilities to sub-committees or individual position holders. The scope of delegated responsibilities (if applicable) and corresponding escalation procedures are described in Annex 2. 2. Membership 2.1 Chairperson and Vice-chairperson The The DWS USA Risk Advisor' acts as Chairperson of the Committee. The Chief Operating Officer Americas serves as Vice-chairperson. In the Chairperson's absence or upon the Chairperson's request, all roles and responsibilities as defined herein shall be delegated to the Vice-chairperson. 4 The Chief Risk Officer Americas delegated the role of the Chairperson for the Americas Reputational Risk Committee to the DWS USA Risk Advisor on an interim basis.
