As the company is required to remain on the register, the proposed strike off action has been discontinued. The failure to file accounts within the statutory time allowed is a criminal offence but I will defer any prosecution action for 28 days from the date of this letter. If the company record is not brought up-to-date by that time, the directors may face criminal proceedings. Conviction of this offence will result in a criminal record and a fine of up to £5,000 for each document not delivered on time. Please note that this deferral of prosecution action does not extend or alter the original statutory filing deadline. As the accounts are already late, a civil late filing penalty will automatically be incurred upon their receipt at Companies House. The amount of the penalty increases with the length of delay in delivery and is separate to any criminal proceeding being considered against the directors.
