From: Dolace Mclean <[email protected]> To: William Blum CC: Denise Johannes <denisejohannes®Igo.vi.gov> Subject: RE: Four Diaz and Pico LLC Date: Wed, 17 May 2017 20:08:26 +0000 Good Afternoon: The companies may be registered, either as a corporation or as an LLC. Director Johannes is already prepared to receive and process the filings. Bear in mind, however that all exempt companies will be required to sign a contract in order to receive exempt company benefits. The contract should be ready in another week or so. As already shared with you, the contract is being revised to require additional disclosure information on exempt entities, and greater adherence to the annual reporting requirements. In addition, there will be an increase in the fees associated with the contract and the required disclosures. We are currently working on the regulations in this area and will share with you the final interim version that will be used to govern exempt companies. Thanks. Today we received the e-mail below and it is beginning to concern us as we have several clients for whom we have formed exempt companies, in the form of limited liability companies in accordance with Title 13, section 851(i), but we have not yet received all of the official certificates from the Division of Corporations acknowledging these filings. We are also still awaiting fully signed contracts (under 13 VIC 861) for some exempt company clients, as you and I have also discussed by telephone. The statute seems quite explicit with regard to both of these matters. Do you anticipate being able resolve these matters soon? Would it be helpful to have another telephone conference? If so, I am available to speak at your convenience. Best regards. Yours,
